Comitê Independente. Para evitar qualquer possível conflito de interesses, o Conselho de Administração nomeará um comitê independente, a ser xxxxxxxx por 3 (três) membros, todos os quais serão membros independentes, sendo que 2 (dois) serão conselheiros independentes da Companhia e o outro, membro independente externo, de acordo com a definição do regulamento do Novo Xxxxxxx (“Comitê Independente”). Para fins de esclarecimento, a Sierra e/ou seus representantes (incluindo os membros do conselho nomeados pela Sierra) não serão membros do Comitê Independente, tampouco participarão de quaisquer decisões a respeito do Aporte da PDP. As reuniões do Comitê Independente e suas decisões devem ser devidamente documentadas. O Comitê independente será o único responsável, além de outros atos na medida em que exigido pela Lei aplicável, por (a) selecionar e contratar, de forma independente, a Empresa de Avaliação, (b) administrar, coordenar e diretamente interagir com a Empresa de Avaliação, inclusive reunindo e fornecendo todas as informações solicitadas pela Empresa de Avaliação, (c) informar a Empresa de Avaliação a respeito de quaisquer Impostos sobre Câmbio incorridos pela Companhia como resultado do Aporte da PDP, e (d) supervisionar o trabalho da Empresa de Avaliação. Para fins de esclarecimento, a Sierra e/ou seus representantes (incluindo os membros do conselho nomeados pela Sierra) não deverão interferir no trabalho do Comitê Independente e/ou da Empresa de Avaliação.

At the Sponsor's request, the Institution shall cause all rights titles and interests in and to any such Intellectual Property to be assigned to the Sponsor without additional compensation and provide reasonable assistance to obtain patents, including causing the execution of any invention assignment or other documents. Na žádost Zadavatele zajistí Poskytovatel převod veškerých práv a zájmů týkajících se Duševního vlastnictví na Zadavatele bez další odměny a poskytne přiměřenou součinnost k získání patentu včetně zajištění podpisu dokumentů k převodu objevu nebo jiných dokumentů.
