No voluntary or involuntary successor in interest of Developer shall acquire any rights or powers under this Agreement by assignment, assumption or otherwise, nor shall Developer make any total or partial transfer, conveyance, encumbrance to secure financing or refinancing, assignment or sublease of the whole or any part of the leasehold interest in the Site, nor shall there be any change in the general or limited partners of Developer, without the prior written approval of Authority Executive Director pursuant to Section 704.3 below, except as expressly set forth herein, which approval shall not be unreasonably withheld or delayed.
