Common use of Companion Agreements Clause in Contracts

Companion Agreements. (a) TDCC shall cause each Grantor to, and Purchaser shall cause each Grantee to, enter into one or more companion agreements in the form of Attachment 1 hereto (each, a “Companion Agreement”) with respect to each of the Grantee’s Premises. Unless and to the extent an individual Companion Agreement expressly provides otherwise, each Companion Agreement shall incorporate by reference the terms and conditions of this Agreement (including, for the avoidance of doubt, the Rent set forth on Schedule A) and shall not be construed as altering or superseding the rights and obligations of the parties under this Agreement. (b) Purchaser shall be fully responsible and liable for all obligations of the itself and Grantees, and TDCC shall be fully responsible and liable for all obligations of itself and the Grantors, in each case to the same extent as if such failure to perform or comply was committed by Purchaser (in the case of Grantees) or by TDCC (in the case of Grantors). (c) The local Grantor representative and the local Grantee representative set forth on Schedule B (and/or their respective designees(s)) shall be responsible for the support of the relevant individual Companion Agreements on behalf of each Grantor and each Grantee, respectively, and shall be the only individuals authorized to amend, modify, change, waive or discharge their rights and obligations under such Companion Agreements. (d) Purchaser shall have the right to enforce this Agreement and any Companion Agreements on behalf of any Grantee, and to assert all rights and exercises and receive the benefits of all remedies of such Grantee, to the same extent as if Purchaser were such Grantee, subject to the limitations of liability applicable under this Agreement. TDCC shall have the right to enforce this Agreement and any Companion Agreements on behalf of any Grantor, and to assert all rights and exercises and receive the benefits of all remedies of such Grantor, to the same extent as if TDCC were such Grantor, subject to the limitations of liability applicable under this Agreement.

Companion Agreements. No changes to any Companion AgreementsAgreement shall be made without the knowledge of the Account Executives and the agreement of the local Service Provider Affiliate and Recipient in a written amendment to the Companion Agreement. (d) Purchaser Customer shall have the right to enforce this Agreement and any (including the terms of all Companion Agreements Agreements) on behalf of any Granteeeach Recipient that has entered into a Companion Agreement, and to assert all rights and exercises exercise and receive the benefits of all remedies (including Damages) of such Granteeeach Recipient, to the same extent as if Purchaser Customer were such GranteeRecipient, subject to the limitations of liability applicable under this Agreement. TDCC Service Provider shall have the right to enforce this Agreement and any (including the terms of all Companion Agreements Agreements) on behalf of any Grantoreach Service Provider Affiliate that enters into a Companion Agreement, and to assert all rights and exercises exercise and receive the benefits of all remedies (including Damages) of such Grantoreach Affiliate hereunder, to the same extent as if TDCC Service Provider were such GrantorAffiliate, subject to the limitations of liability applicable under this Agreement.

Companion Agreements. (a) TDCC As specified in a Supplement, Supplier and CoreLogic shall cause each Grantor totheir local Affiliates to enter into, and Purchaser shall cause each Grantee to, enter into one or more companion agreements in the form of Attachment 1 hereto Annex 3 with non-U.S. Entities that are Eligible Recipients for the purpose of memorializing the implementation of this Agreement and the applicable Supplement (each, a “Companion Agreement”) with respect ). All Services shall be provided by Supplier or the applicable Affiliate of Supplier pursuant to each of the Grantee’s Premisesthis Agreement or an executed Companion Agreement. Unless and to the extent an individual Companion Agreement expressly provides otherwise, each Companion Agreement shall incorporate by reference the terms and conditions of this Agreement (including, for the avoidance of doubt, the Rent set forth on Schedule A) and shall not be construed as altering or superseding the rights and obligations of the parties Parties under this Agreement. (b) Purchaser shall be fully responsible and liable for all obligations of the itself and Grantees, and TDCC Supplier shall be fully responsible and liable for all obligations of itself and the Grantors, in each case or any Supplier Affiliate or Subcontractor to the same extent as if such failure to perform or comply was committed by Purchaser Supplier, and CoreLogic will have the same rights under this Agreement if an event or circumstance (in e.g., bankruptcy) occurs with respect to a Supplier Affiliate or Subcontractor that is a party to a Companion Agreement, that it would have if such party were Supplier. CoreLogic shall be fully responsible and liable for all obligations of any Eligible Recipient to the case of Granteessame extent as if such failure to perform or comply was committed by CoreLogic, and Supplier will have the same rights under this Agreement if an event or circumstance (e.g., bankruptcy) or by TDCC (in the case of Grantors)occurs with respect to an Eligible Recipient that is a party to a Companion Agreement, that it would have if such party were CoreLogic. (c) The local Grantor representative Customer Executive (and his or her designees(s)) and the local Grantee representative set forth on Schedule B CoreLogic Relationship Manager (and/or their respective and his or her designees(s)) shall be remain responsible for the support administration of this Agreement and the relevant individual Companion Agreements on a day-to-day basis on behalf of each Grantor Supplier and each Grantee, respectively, CoreLogic respectively and shall be the only individuals each provide recommendations to his or her respective Party’s authorized representative to amend, modify, change, waive or discharge their rights and obligations under this Agreement or such Companion AgreementsAgreements as appropriate. (d) Purchaser Notwithstanding anything to the contrary in any Companion Agreement, any and all disputes arising under or relating to any Companion Agreement shall be subject to the provisions of Article 19, and under no circumstances shall CoreLogic or any Eligible Recipient, on the one hand, or Supplier, any Supplier Affiliate or Subcontractor, on the other hand, bring or attempt to bring any claim or other action arising under or relating to any Companion Agreement or this Agreement in any jurisdiction except as provided in Section 19.2. In addition, CoreLogic shall have the right to enforce this Agreement and any (including the terms of all Companion Agreements Agreements) on behalf of any Granteeeach Eligible Recipient that enters into a Companion Agreement, and to assert all rights and exercises exercise and receive the benefits of all remedies (including monetary damages) of such Granteeeach Eligible Recipient, to the same extent as if Purchaser CoreLogic were such GranteeEligible Recipient, subject to the limitations of liability applicable under this Agreement. TDCC Supplier shall have the right to enforce this Agreement and any (including the terms of all Companion Agreements Agreements) on behalf of any Grantoreach Affiliate or Subcontractor that enters into a Companion Agreement, and to assert all rights and exercises exercise and receive the benefits of all remedies (including monetary damages) of such Grantoreach Affiliate or Subcontractor hereunder, to the same extent as if TDCC Supplier were such GrantorAffiliate or Subcontractor, subject to the limitations of liability applicable under this Agreement. Each reference to “Supplier” in this Agreement shall be deemed to refer to Supplier Affiliates or Subcontractors, to the extent such Supplier Affiliates or Subcontractors perform, or are obligated to perform, Services under any Companion Agreement.
