Company Non-Solicit. During the period from the date hereof through the third (3rd) anniversary of the date hereof, none of Buyer, the Company or any of their respective Subsidiaries shall, directly or indirectly, hire or solicit any Person, other than any Person who is an employee of the OEM Solutions Business as of the date hereof and who does not become a Transferred Symmetry Surgical Employee, who (i) is or was employed by SpinCo or any of its Subsidiaries during the twelve (12) month period prior to the date hereof and who provided services in connection with the Symmetry Surgical Business, or (ii) becomes a Transferred Symmetry Surgical Employee, or encourage any such employee to leave or limit such employment or hire any such employee who has left such employment, except pursuant to a general solicitation which is not directed specifically to any such employees; provided, that nothing in this Section 6.1(a) shall prevent any such Person from hiring any employee whose employment has been terminated subsequent to date hereof. Notwithstanding the foregoing, no third party (or Affiliate of any such third party) who acquires Buyer or any of its Subsidiaries shall be subject to the restrictions set forth in this Section 6.1(a).

Company Non-Solicit. For a period of three years after the Closing Date, each of Holdings and Sellers shall not, and shall not permit any member of the Seller Group to, knowingly solicit for employment, hire, engage or retain, or assist any other Person in so soliciting for employment, hiring, engaging or retaining, any employee of the Buyer Group; provided, that this paragraph shall not preclude any member of the Seller Group from soliciting for employment, hiring, engaging or retaining any such employee of the Buyer Group who (A) responds to a general solicitation through a public medium or general or mass mailing or electronic solicitation that is not targeted at employees of the Buyer Group, (B) is solicited through recruiting firms not directed to target any specific employees of the Buyer Group, or (C) contacts any member of the Seller Group directly on such individual’s own initiative without any solicitation or encouragement from any member of the Seller Group.
Company Non-Solicit. The Company may not, and shall cause its Subsidiaries not to, from the Effective Date through and including the two year anniversary of the Effective Date, without the prior written consent of the applicable Member, either directly or indirectly, on their own behalf or in the service or on behalf of others, solicit, aid, induce or encourage any individual who is a Senior Employee of an entity that is part of a Member’s Corporate Group to leave his or her employment; provided, however, that nothing in this Section 7.06(b) shall be deemed to prohibit any general solicitation for employment through advertisements and search firms not specifically directed at employees of a Member or a Subsidiary of a Member; provided further, that the Company or its Subsidiary has not encouraged or advised such firm to approach any such employee.

Notwithstanding anything contained in this Section 10 to the contrary, the Prohibited Activity shall not be applicable to the state or federal waters of the Gulf of Mexico or outside of the United States except as to the area covered by any U.S. or foreign state or federal oil and gas lease, license or permit in which the Company owns a working interest which was acquired by the Company prior to or during the Employment Period and further limited to the depths in which the Company owns such working or operating rights interest. For the avoidance of doubt, the provisions of this Section 10 will not apply following a termination of the Executive's employment by the Company with or without Cause, by the Executive due to Disability or Good Reason or by the Executive during a Window Period.

  • Anti-Solicitation In light of the amount of sensitive and confidential information involved in the discharge of the Executive’s duties, and the harm to the Corporation that would result if such knowledge or expertise were disclosed or made available to a competitor, and as a reasonable step to help protect the confidentiality of such information, the Executive promises and agrees that during the Term of Employment and for a period of two (2) years thereafter, the Executive will not use the Company’s confidential information to, directly or indirectly, individually or as a consultant to, or as an employee, officer, shareholder, director or other owner or participant in any business, influence or attempt to influence the customers, vendors, suppliers, joint venturers, associates, consultants, agents, or partners of any entity within the Company Group, either directly or indirectly, to divert their business away from the Company Group, to any individual, partnership, firm, corporation or other entity then in competition with the business of any entity within the Company Group, and he will not otherwise materially interfere with any business relationship of any entity within the Company Group.
