Company Representations and Warranties True. The representations and warranties of the Company contained in this Agreement shall be true and accurate in all material respects (or, in the case of a representation or warranty that is, by its terms, qualified as to materiality, shall be true and accurate in all respects) as of the date when made, and, except as to representations and warranties (consisting solely of representations and warranties regarding the number of shares of Company Common Stock issued and outstanding on the date hereof set forth in Section 2.2 hereof) which are expressly limited to a state of facts existing at a time prior to the Closing Date, shall be true and accurate in all material respects (or, in the case of a representation or warranty that is, by its terms, qualified as to materiality, shall be true and accurate in all respects) at and as of the Closing Date as if made on the Closing Date, without giving effect to any funds received by the Company after December 28, 1996 upon the exercise of any option or warrant or to the reduction of indebtedness resulting from the conversion of any promissory note or other instrument convertible into shares of the Company's capital stock.
