Company Share Ownership. As of the date of this Agreement, neither Parent nor any person or entity referred to in Section 320(c) of the Israeli Companies Law with respect to Parent owns any Company Shares.
Company Share Ownership. Each Stockholder is the sole lawful record and beneficial owner of and has good and valid record and marketable title to those shares of the Company Shares set forth beside such Stockholder's name on Schedule 1 hereto and has the right to sell, convey, transfer, assign, and deliver such Company Shares to the Buyer without any restrictions except as may be imposed under the Securities Act. Company Share Ownership. Sellers' respective ownership of the Company Shares, and the respective number of Ballard Shares which they are receivxxx xx Closing, are set forth in Schedule 1 attached to and made a part of this Agreement by reference.
Company Share Ownership. The Seller is the record and beneficial owner of all of the Company Shares, and the Seller has good, valid and marketable title to, and owns all of, the Company Shares free and clear of any Liens (other than Liens to be released at or prior to Closing).   • Transfer Books; No Further Ownership Rights in Company Stock The Merger Consideration paid in respect of shares of Company Common Stock upon the surrender for exchange of Certificates in accordance with the terms of this Article II shall be deemed to have been paid in full satisfaction of all rights pertaining to the shares of Company Common Stock previously represented by such Certificates, and at the Effective Time, the stock transfer books of the Company shall be closed and thereafter there shall be no further registration of transfers on the stock transfer books of the Surviving Corporation of the shares of Company Common Stock that were outstanding immediately prior to the Effective Time. From and after the Effective Time, the holders of Certificates that evidenced ownership of shares of Company Common Stock outstanding immediately prior to the Effective Time shall cease to have any rights with respect to such shares of Company Common Stock, except as otherwise provided for herein or by applicable Law. Subject to the last sentence of Section 2.2(e), if, at any time after the Effective Time, Certificates are presented to the Surviving Corporation for any reason, they shall be canceled and exchanged as provided in this Article II.

  • No Further Ownership Rights in Company Shares From and after the Merger Effective Time, all Company Shares shall no longer be outstanding and shall automatically be cancelled, retired and cease to exist, and each holder of a Certificate or Uncertificated Shares theretofore representing any Company Shares shall cease to have any rights with respect thereto, except the right to receive the Merger Consideration payable therefor upon the surrender thereof in accordance with the provisions of Section 2.10. If, after the Merger Effective Time, Certificates or Uncertificated Shares are presented to the Surviving Corporation for any reason, they shall be canceled and exchanged as provided in this Article II.
