Compensation Committee or Committee. The Committee, which shall be comprised of three or more members who shall be appointed by the Board to administer this Agreement, which the Board shall have the power to fill vacancies on the Committee arising by resignation, death, removal or otherwise. In the absence of a Committee, reference thereto shall be to the Board.
