Compensation of the Members and Directors. The Members shall not be entitled to any compensation for their services hereunder. Each Director who is not an employee of the Company or any Subsidiary of the Company shall be entitled to a reasonable fee to be paid by the Company in an amount determined by the Board from time to time. All Directors may be reimbursed for all reasonable and documented out-of-pocket fees and expenses (including travel and related expenses) incurred (x) in connection with each meeting of the Board or each meeting of a committee of the Board and (y) conducting any other business of the Company as requested by the Company, in each case as determined by the Board.
