Competitive Set. As defined in the STR Reports. Lessor and Lessee shall work in good faith to determine any additions and deletions to a Hotel's Competitive Set, on or before November 15th of each Fiscal Year, with such changes to be applicable for the following Fiscal Year. In the event Lessor and Lessee cannot agree to a Hotel's Competitive Set by November 15th of any Fiscal Year, such unagreed items shall be determined by Smith Travel Research (or, if it refuses or is unable to do so, by axxxxxation pursuant to Article XXXIX). The costs of resetting a Hotel's Competitive Set shall be borne equally by the parties.

Competitive Set. “Competitive Set” shall mean, initially, the following hotels: Hyatt Place Austin Airport Hilton Garden Inn Austin Downtown Courtyard Austin Airport Marriott Austin South Hilton Garden Inn Austin Airport DoubleTree Austin Central Holiday Inn Austin Town Lake Any future changes to the defined competitive set as shown in Schedule 15.4 shall be mutually agreed to in writing between Manager and Owner. The Competitive Set shall be reviewed from time to time by Manager and Owner in the event there is a change in the market that supports an adjustment in the Competitive Set. By way of example only and not of limitation, changes in the market may include the construction of a new hotel or the conversion and/or the renovation of an existing hotel that results in such hotel becoming competitive with the Hotel (or no longer being competitive with the Hotel).

Competitive Set. The Parties shall establish a competitive set of hotels (the “Competitive Set”) for the purposes of the Performance Test, which shall consist of the hotels in the Hotel’s immediate market area that are most comparable to the Hotel in quality, price and market (with due consideration given to age, quality, size, amenities, amount of meeting space and business mix); provided that (a) the Competitive Set shall include at least four hotels (and shall not include the Hotel), and (b) in no event shall any single hotel in the Competitive Set account for more than 30% of the total guest rooms of all Hotels included in the Competitive Set. All determinations as to which hotels are to be included in the Competitive Set shall be made by the agreement of the Parties or, if the Parties are unable to reach agreement, as determined by the same procedure for resolving disputes regarding approval of the Operating Plan. If a material change to any hotel in the then existing Competitive Set occurs, including the cessation of operation of a hotel; a material change in the standards of operation of a hotel; or a material change in the market in which the hotel exists, such as the entry of a new hotel in the market, then either Party may request the replacement of such hotel in the Competitive Set, provided the replacement hotel has been in operation for at least three full years. The Initial Competitive Set as set forth in Exhibit A shall constitute the Competitive Set as of the Effective Date. The Competitive Set shall be reviewed and amended as required in accordance with this Section 16.5.3 as part of the approval of the Operating Plan.
