Compliance by Affiliates. The Parties shall cause their respective Affiliates to comply with this Agreement.
Compliance by Affiliates. Licensee agrees that Licensee shall be responsible for ensuring and guaranteeing compliance by all Affiliates of Licensee with all of the terms, conditions and provisions of this Agreement. Licensee represents and warrants to Licensor that Licensee has the power and authority to cause all such Affiliates to comply with all such terms, conditions and provisions, and acknowledges that such compliance shall be a condition to the lawful exercise by any of Licensee’s Affiliates of any of the rights granted in this Agreement to Licensee.

Compliance by Affiliates. Each of the SELLER and BUYER will be responsible for compliance by its respective Affiliates with the terms of this Agreement.
Compliance by Affiliates. Each Party shall use its best efforts to have its affiliates comply with the provisions of this Article IX and each Party shall indemnify the other Party for any failure by its affiliates to so comply.
