Common use of Compliance by Successful Respondent Clause in Contracts

Compliance by Successful Respondent. Subject to Sections 15.11(d) and (e), Successful Respondent represents, warrants and covenants that, with respect to the provision of the Services and the performance of any of Successful Respondent’s other legal and contractual obligations hereunder, Successful Respondent is and shall be in compliance in all material respects with all applicable Laws and shall remain in compliance with such Laws during the Term, including identifying and procuring applicable permits, certificates, approvals, and inspections required under such Laws. If any charge of non-compliance by Successful Respondent with any such Laws occurs or Successful Respondent is aware that it is not in compliance with such Laws that could have a material adverse impact on the performance, receipt, or use of the Services, Successful Respondent shall promptly notify DIR of such charge or non-compliance, as applicable.
