Compliance with Financing Documents. The representation and warranties set forth in the applicable Financing Documents, as amended hereby, are true and correct with the same effect as if such representations and warranties had been made on the date hereof, with the exception that all references to the financial statements shall mean the financial statements most recently delivered to Purchasers and except for such changes as are specifically permitted under the applicable Financing Documents. In addition, except for the Defaulted Covenants, the Credit Parties have complied with and are in compliance with all of the covenants set forth in the Financing Documents, as amended hereby.
Compliance with Financing Documents. The Resident will perform all of the Resident’s obligations contained in the Financing Documents.
Compliance with Financing Documents. Each Related Transportation Entity shall take all actions or refrain from taking all such actions, as the case may be, and shall operate that part of the Systems under its jurisdiction, as shall ensure its compliance and compliance of the MTA with the terms and provisions of the Financing Documents or any other agreement entered into by the MTA in connection with the undertaking or financing of Capital Costs and which shall by its terms, directly or indirectly, apply to any Related Transportation Entity.
Compliance with Financing Documents. The Authority and the City will faithfully comply with, keep, observe and perform all the agreements, conditions, covenants and terms contained in the Financing Documents to which they are parties required to be complied with, kept, observed and performed by them and, together with the Trustee, will enforce the Financing Documents against the other parties thereto in accordance with their respective terms.
Compliance with Financing Documents. Other than with respect to the covenants referenced in Article IV.C.1.b. below, Owner shall be responsible for compliance with all applicable financing documents. Owner agrees to provide copies to Capital of any communications relating to the financing documents including, without limitation, copies of any notices of default.

The Company shall have performed and complied with all agreements and conditions contained in the Financing Documents that are required to be performed or complied with by the Company on or prior to the Closing Date, and such performance and compliance shall remain in effect on the Closing Date.

Compliance with Financing Documents. The Partnership and each Partner shall comply with (a) each provision of the Initial Loan Documents applicable to it, and (b) the Affordable Rental Housing Development Agreement with the city of Roseville dated October 22, 1997.

The Company, the Guarantors and the Managing General Partners shall have performed and complied with all agreements and conditions contained in the Financing Documents that are required to be performed or complied with by the Company, the Guarantors and the Managing General Partners on or prior to the Closing Date, and such performance and compliance shall remain in effect on the Closing Date.
Compliance with Financing Documents. The Guarantor shall cause each of its Subsidiaries having a direct or indirect interest in any Initial Obligor to vote or to cause to be voted all of the shares of such Initial Obligor presently held by any such Subsidiary, as well as any other shares of any Initial Obligor that the Guarantor may directly or indirectly acquire or control in the future, in such manner, and take or cause to be taken any corporate actions as shall be necessary to cause all Guaranteed Obligations to be fulfilled as and when due and to achieve the prompt and effective implementation and performance of all of the provisions of the Transaction Documents to which the Guarantor or its Subsidiaries are a party.
