Compliance with Law And Government Authorizations. Seller is in compliance in all material respects with all applicable Laws in respect to the Assets and has obtained and is maintaining all licenses, permits, franchises, orders, exemptions, variances, waivers, authorizations, certificates, and consents from any applicable Governmental Body that are necessary or required for the operation of the Assets operated by Seller. Notwithstanding the foregoing, this Section 4.11 does not relate to Taxes and Environmental Laws.

Compliance with Law And Government Authorizations. To Liberty’s Knowledge, the Liberty Assets are being operated in compliance with all applicable Laws except for such noncompliance that would not have, individually or in the aggregate, a Material Adverse Effect. Notwithstanding the foregoing, this Section 6.11 does not relate to Taxes or Environmental Laws, which are addressed in Section 6.8 and Article V, respectively.

(a) Except as would not, individually or in the aggregate, have a Material Adverse Effect: (i) the Company and RNR have obtained and are maintaining all tribal, federal, state and local governmental licenses, permits, franchises, orders, exemptions, variances, waivers, authorizations, certificates, consents, rights, privileges and applications therefore (the “Governmental Authorizations”) that are presently necessary or required to conduct the Business as it is presently conducted and (ii) no written notices of violation have been received by the Company or RNR from a Governmental Authority, and no proceedings are pending or, to Sellers’ Knowledge, threatened that might result in any modification, revocation, termination or suspension of any such Governmental Authorizations.

Except as would not, individually or in the aggregate, have a Material Adverse Effect: (a) Seller has obtained and is maintaining all federal, state and local governmental licenses, permits, franchises, orders, exemptions, variances, waivers, authorizations, certificates, consents, rights, privileges and applications therefore (the “Governmental Authorizations”) that are presently necessary or required for the ownership and operation of the Assets as currently owned and operated; (b) Seller is operating the Assets in accordance with the conditions and provisions of all Governmental Authorizations that are presently necessary or required for the ownership and operation of the such Assets as currently owned and operated, and (c) no written notices of violation have been received by Seller from a Governmental Entity, and no proceedings are pending (with service of process on Seller) or, to Seller’s Knowledge, threatened (or pending without service of process on Seller) that might result in any modification, revocation, termination or suspension of any such Governmental Authorizations or which would require any corrective or remediation action by such Person.
