Compliance with Laws and Rules. A. Supplier shall comply with all national, state, and local laws and regulations governing the manufacture, import, export, transportation, and/or sale of Software and/or the performance of Services in the course of this Agreement. In the United States, these may include, but are not limited to, Department of Commerce including U. S. Export Administration regulations, Securities Exchange Commission. Environmental Protection Agency, and Department of Transportation regulations applicable to Hazardous Materials. Supplier shall ensure its employees have the legal right to work in the country where they are providing services. Neither Supplier nor any of its subsidiaries will export/re-export any technical data, process, product, or service, directly or indirectly (including the release of controlled technology to foreign nationals from controlled countries), to any country for which the United States government or any agency thereof requires an export license or other government approval without first obtaining such license. For services in the U.S., Supplier agrees not to provide foreign nationals (non U.S. citizens or U.S. permanent residents) as employees or contractors for work on any Buyer site unless that foreign national is covered under a valid U.S. Export License or is not exposed to controlled technology. In addition, for services outside of the U.S. Supplier agrees not to provide foreign nationals as employees or contractors for work on any Buyer site unless that foreign national is a citizen of the country of that Buyer site and/or is covered under a valid U.S. Export License or is not exposed to controlled technology. It is a requirement of this Agreement that the Supplier shall be responsible for obtaining all such approvals, authorizations, permits and licenses and shall indemnify and hold Intel harmless from any failure to comply with such requirement. B. Supplier agrees to fully comply with Buyer’s Ethics Expectations and Electronic Industries Code of Conduct as set forth at xxxxxxxx.xxxxx.xxx/xxxxxx/xxxxxx/. Additionally, Supplier agrees to abide by all Buyer’s rules and regulations while on Buyer’s premises or performing Services including, but not limited to, safely, health and Hazardous Material management rules, and rules prohibiting misconduct on Buyer’s premises including, but not limited to, use of physical aggression against persons or property. harassment, and theft Supplier will perform only those Services identified on Addendum “A” and will work only in areas designated for such Services. Supplier shall take all reasonable precautions to ensure safe working procedures and conditions for performance on Buyers premises and shall keep Buyer’s site neat and free from debris. C. Supplier represents and agrees that it is in compliance with Executive Order 11246 and implementing Equal Employment Opportunity regulations, the Vietnam Era Veterans Readjustment Assistance Act as amended by the Veterans Employment Opportunities Act of 1998 (to include: Vietnam-era Veterans and other Veterans who served on active duty during a war or campaign or expedition for which a campaign badge has been authorized), and the Immigration Act of 1987, unless exempted or inapplicable. This order/Agreement is subject to the requirements of 41 C.F.R. 60-1.4, 41 C.F.R. 60-250.5(a), 41 C.F.R. 60-300.5(a), 41 C.F.R. 60.741.5(a), and 29 C.F.R. part 470, which are incorporated into this order/Agreement by reference, if applicable. D. Supplier shall comply with all applicable laws regarding nondiscrimination in terms and conditions of employment, payment of minimum wage and legally mandated employee benefits and compliance with mandated work hours. Supplier shall comply with all applicable laws regarding employment of underage or child labor and shall not employ children under the age of 16. E. Suppliers who assign workers to Intel premises or have workers who require access to Intel’s network are responsible for complying with Intel’s global contingent workforce policy. This includes but is not limited to adhering to requirements for site and network access and complying with any and all waiting periods, as well as adherence to the 12 month rule (or as otherwise advised) for staff augmentation workers. As part of Buyer’s supplier diversity program, Buyer may request information and/or data from Supplier relative to Supplier’s own supplier diversity initiatives during the term of the Agreement.

Compliance with Laws and Rules. A. Supplier shall comply with the RBAcode of conduct and all national, state, and local laws and regulations governing the manufacture, importtransportation, export, transportation, and/or sale of Software and/or the performance of Services in the course of this Agreement. Neither Supplier nor any of its subsidiaries will export/re-export any technical data, process, product, or service, product directly or indirectly (including the release of controlled technology to foreign nationals from controlled countries), ) to any country for which the United States government or any agency thereof requires an export license or other government approval without first obtaining such license. For services Supplier hereby represents and ensures that it does not and will not supply to MEMC any conflict minerals (materials that directly or indirectly finance or benefit armed groups in the U.S.Democratic Republic of Congo (DRC) and adjoining countries), including Tantalum (Ta), Tin (Sn), Tungsten (W), and Gold (Au). Supplier further agrees not to provide foreign nationals (non U.S. citizens or U.S. permanent residents) as employees or contractors for work on any Buyer site unless that foreign national is covered under a valid U.S. Export License or is not exposed to controlled technology. In addition, for services outside it will inform all of the U.S. Supplier agrees not to provide foreign nationals as employees or contractors for work on any Buyer site unless that foreign national is a citizen of the country of that Buyer site and/or is covered under a valid U.S. Export License or is not exposed to controlled technology. It is a requirement its own suppliers of this Agreement policy and undertake to ensure that such policy is complied with by its own suppliers. Non-compliance with the foregoing may, at MEMCs option, result in cancellation of this Order for performance on Buyers premises and shall keep Buyer’s site neat and free from debriscause. C. Supplier agrees to comply with the anti-bribery and books and records provisions of the Foreign Corrupt Practices Act ("FCPA"), the principles set out in the Organization for Economic Cooperation and Development Convention Combating Bribery of Foreign Public Officials in International Business Transactions ("OECD Convention"), and with all local laws prohibiting bribery and similar unethical business practices, and with MEMC's Foreign Anti-Corruption Policy Statement and Policy ("MEMC Policy"). Supplier represents and agrees warrants that, in connection with the business project that is the subject of this agreement, it has not paid, offered, promised or authorized, directly or indirectly, a payment of anything of value in violation of the FCPA, the OECD Convention, local law, or MEMC Policy. Supplier certifies that it is not a foreign official (which includes being an officer, employee, or representative of any foreign government, department, state- owned, state-controlled, or state-operated entity, or a public international organization, of any political party, or being a foreign political candidate), A payment, offer, promise or authorization that is prohibited under this clause constitutes a material breach of the Agreement and MEMC may, in its sole discretion terminate this Agreement immediately upon written notification to Supplier. Supplier agrees to hold MEMC harmless for any monetary harm or damages it suffers as a result of Supplier’s actions in violation of the FCPA, the OECD Convention, or local law, and further agrees to indemnify MEMC for any liability imposed as a result of Supplier's violation of the FCPA or local law. In this anti-corruption laws section of the Agreement “Anti-Corruption Laws” means, both collectively and separately, any anti-corruption, anti-bribery or similar governmental ethics and transparency laws that have particular jurisdiction or that govern the Included Scope in any general manner. Although Seller and Buyer are each responsible for determining the extent and applicability of Anti-Corruption Laws, the US Foreign Corrupt Practices Act of 1977 (the “FCPA”) and the UK Xxxxxxx Xxx 0000 are both expressly included in the scope of “Anti-Corruption Laws” regardless of Buyer’s or Seller’s actual residency or the actual location that services are performed and received or that goods are made, delivered and received under the Agreement. iii. Seller and Buyer each represent to the other that, with respect to the Included Scope, as of entering into the Agreement: a. they have not violated any Anti-Corruption Laws; and b. they have not directly or indirectly made any offer, payment, promise to pay, or authorized payment, or offered a gift, promised to give, or authorized the giving of anything of value to any Government Official (defined as any officer, employee or person acting in an official capacity for any government department, agency or instrumentality, including state-owned or -controlled companies, and public international organizations, as well as a political party or official thereof or candidate for political office) or any other person while knowing or having reason to know that all or a portion of such money, gift or thing of value will be offered, paid or given, directly or indirectly, to any Government Official, for the purpose of (1) influencing an act or decision of the Government Official in his or her official capacity, (2) inducing the Government Official to do or omit to do any act in violation of the lawful duty of such official, (3) securing an improper advantage, or (4) inducing the Government Official to use his influence to affect or influence any act or decision of a government or instrumentality, in order to assist Intel or any of its affiliates in obtaining or retaining business. iv. If Seller learns or comes to have reason to know of any payment or transfer (or any offer or promise to pay or transfer) in connection with the Included Scope that would violate Anti-Corruption Laws, it shall immediately disclose it to Buyer. C. Seller shall fully comply with all Buyer’s Ethics Expectations rules, regulations, and policies, set forth at xxxxxxxx.xxxxx.xxx as may be amended from time to time, relating to, the Contingent Workforce Supplier Policy, Supplier Invoice requirements, Intel Code of Conduct, Confidentiality and Publicity requirements, Environmental Health and Safety Policies, including the Environmental Product Content Specification 18-1201, and the Electronic Industries Industry Code of Conduct as (EICC), including the acceptance of an EICC audit at the request of Buyer. Unless exempt or inapplicable, Seller represents and agrees that it is in compliance with U.S. Executive Order 11246 and implementing Equal implements Employment Opportunity regulations, the Vietnam Era Veterans Veterans’ Readjustment Assistance Act as amended by the Veterans Employment Opportunities Act of 1998 (to include: Vietnam-era Veterans and other Veterans who served on active duty during a war or campaign or expedition for which a campaign badge has been authorized), and the Immigration Reform and Control Act of 1987, unless exempted or inapplicable1986. This order/Agreement is subject to the requirements of 41 C.F.R. 60-1.4, 41 C.F.R. 60-250.5(a), 41 C.F.R. 60-300.5(a), 41 C.F.R. 60.741.5(a), and 29 C.F.R. part 470, which are incorporated into this order/Agreement by reference, if applicable. D. Supplier shall comply with all applicable laws regarding nondiscrimination in terms and conditions of employment, payment of minimum wage and legally mandated employee benefits and compliance with mandated work hours. Supplier Seller shall comply with all applicable laws regarding employment of underage or child labor and shall not employ children under the age of 16. E. Suppliers who assign workers to Intel premises or have workers who require access to Intel’s network are responsible for complying with Intel’s global contingent workforce policy. This includes but is not limited to adhering to requirements for site and network access and complying with any and all waiting periods, as well as adherence to the 12 month rule (or as otherwise advised) for staff augmentation workers. As part of Buyer’s supplier diversity program, Buyer may request information and/or data from Supplier relative to Supplier’s own supplier diversity initiatives during the term of the Agreement.
