Condition of Certain Tangible Assets. All tangible personal property owned or leased by each Acquired Company and material to the operation of the Business as currently conducted, including Equipment, is in good operating condition and repair (subject to normal wear and tear) and is suitable in all material respects for the purposes for which it currently is used.

Condition of Certain Tangible Assets. Each item of Equipment owned or leased by the Partnership Entities has been maintained in the Ordinary Course of Business, ordinary wear and tear excepted, and in accordance with normal industry practices and applicable warranty requirements, if any (and, if held under lease, also has been maintained as required by each applicable lease). All Facilities have been maintained in the Ordinary Course of Business and there is no material structural deficiency, latent defect or other condition affecting any Facility that would reasonably be expected to materially interfere with the use or occupancy of the Facility in the continued conduct of the business of the Partnership Entities in the same manner as it was conducted during the periods covered by the financial statements contained or incorporated by reference in the TER SEC Documents, as conducted since and as contemplated to be conducted.
Condition of Certain Tangible Assets. All tangible personal property owned or leased by the Company, JTF Holdco and Tylee Holdco is in good operating condition and repair (subject to normal wear and tear) and is suitable for the purposes for which it currently is used and is intended to be used in the business of the Company, JTF Holdco and Tylee Holdco.

  • Assumption of Certain Liabilities (a) Upon the terms and subject to the conditions of this Agreement, Purchaser shall assume, effective as of the Closing, and from and after the Closing Purchaser shall pay, perform, and discharge when due, all the liabilities, obligations, and commitments of Seller arising from or related to the Acquired Assets to the extent such liabilities, obligations, and commitments relate to the period from and after the Closing (the “Assumed Liabilities”).

  • Assumption of Certain Obligations Buyer shall assume only those liabilities related to the Business or Assets which are referred to in Section 2.2(a) or are otherwise expressly assumed in this Agreement (the "Assumed Liabilities").

  • Effect of Certain Terminations In the event of termination of this Agreement pursuant to Article VII, written notice thereof shall be given to the other party or parties, specifying the provision of this Agreement pursuant to which such termination is made, and this Agreement, except for the provisions of Section 5.4, Section 5.5, Article VII and Article VIII, shall forthwith become null and void and there shall be no liability on the part of any party to this Agreement and all rights and obligations of the parties hereto under this Agreement shall terminate, except for the provisions of Section 5.4, Section 5.5, Article VII and Article VIII shall survive such termination; except that nothing herein shall relieve any party hereto from any liability for any intentional or willful and material breach by such party of any of its representations, warranties, covenants or agreements set forth in this Agreement and all rights and remedies of a non-breaching party under this Agreement in the case of such intentional or willful and material breach, at law or in equity, shall be preserved.

  • Exclusion of Certain Transactions (i) If the Company or the Operating Partnership shall propose to enter into any transaction in which the Advisor, any Affiliate of the Advisor or any of the Advisor’s directors or officers has a direct or indirect interest, then such transaction shall be approved by a majority of the Board not otherwise interested in such transaction, including a majority of the Independent Directors.

  • Effect of Certain Events (a) If at any time the Company proposes (i) to sell or otherwise convey all or substantially all of its assets or (ii) to effect a transaction (by merger or otherwise) in which more than 50% of the voting power of the Company is disposed of (collectively, a "Sale or Merger Transaction"), in which the consideration to be received by the Company or its shareholders consists solely of cash, the Company shall give the holder of this Warrant thirty (30) days' notice of the proposed effective date of the transaction specifying that the Warrant shall terminate if the Warrant has not been exercised by the effective date of the transaction.
