Conditions not Satisfied or Waived. If the conditions in clause 5.1 are not satisfied or waived by the Investor within two (2) Business Days of the Execution Date then the Investor is entitled to terminate this Agreement by notice in writing to the Company and the Company must, within seven (7) Business Days remit the Prepayment to the Investor in immediately available funds.
