Conditions of Seller’s Obligation. Seller's obligation to sell the Common Shares to Buyer on the Closing Date is subject to the fulfillment prior to or on the Closing Date of the conditions set forth below. In the event that any such condition is not satisfied, Seller shall not be obligated to proceed with the sale of such Common Shares.
