Common use of Conditions of Transfers Clause in Contracts

Conditions of Transfers. As a condition of any Transfer other than to another party, the transferee must covenant to and agree with the other parties to this Agreement to be bound by this Agreement, including this Article 6, and prior to the completion of any such Transfer, the Transferring Party must deliver to the other Party evidence thereof in a form satisfactory to such other parties. Notwithstanding any such Transfer, the Transferring Party will remain liable for all of its obligations hereunder, unless the Holdings have been Transferred to a third party pursuant to Section 6.3.

Conditions of Transfers. As a condition of any Transfer other than to another partyParty or a Joint Venture Company, the transferee must covenant to and agree with the other parties to this Agreement to be bound by the terms and conditions of this Agreement, including this Article 65, and prior to the completion of any such Transfer, the Transferring Party must will deliver to the other Party evidence thereof in a form and content satisfactory to such other partiesits counsel. Notwithstanding any such Transfer, the Transferring Party will remain liable for all of its obligations hereunder, unless all Holdings of the Holdings Transferring Party have been Transferred to a third party pursuant to Section 6.35.3 or Section 5.4.

Notwithstanding Parties in which case the transferring Party will be released from its obligations and Liabilities hereunder with the exception of firstly any such Transferoutstanding obligations and Liabilities arising prior to the Transfer and secondly pursuant to Article 16 and Article 17, for which the Transferring transferring Party will remain liable for all of its obligations hereunder, unless the Holdings have been Transferred to a third party pursuant to Section 6.3liable.

Notwithstanding Party in which case the transferring Party will be released from its obligations hereunder with the exception of firstly any such Transferoutstanding obligations arising prior to the Transfer and secondly pursuant to Article 9, for which the Transferring transferring Party will remain liable for all of its obligations hereunder, unless the Holdings have been Transferred to a third party pursuant to Section 6.3liable.
