Conditions Precedent to each Follow-On Closing. The purchase of Eligible Receivables from any Participating Seller hereunder on each Follow-On Closing Date is subject to the condition precedent that the Buyer shall have received from such Participating Seller, on or before the Follow-On Closing Date, the following, each (unless otherwise indicated) dated such Follow-On Closing Date, and each in form and substance reasonably satisfactory to the Buyer:
