UCC Search Reports. (A) The Transferor shall deliver to the Purchasers (i) certified copies of requests for information or copies (Form UCC-11) (or a similar search report certified by parties acceptable to the Purchasers) dated a date reasonably near the Original Execution Date listing all effective financing statements which name the Seller and the Transferor (under each of its present names and any previous names) as debtor or seller and which are filed in Arizona and Delaware, respectively, and such other jurisdictions where the Purchasers may reasonably request, together with copies of such financing statements, none of which shall cover any Receivables or other Purchased Property, (ii) search reports, each dated a date reasonably near the Original Execution Date with respect to federal, state and local tax liens, judgment liens and liens of the PBGC, respectively, filed against the Seller and the Transferor from the Secretaries of State of the States of Arizona and Delaware and from Maricopa County, Arizona and New Castle County, Delaware, respectively, or such other jurisdictions as the Purchasers shall reasonably request, in each case, showing no such Lien on any of the Receivables or other Purchased Property.
UCC Search Reports. Agent shall have received written search reports provided to Agent by a search service acceptable to Agent, listing all effective financing statements that name Seller as debtor or assignor and that are filed in any applicable UCC jurisdiction and in such other jurisdictions that Agent shall reasonably request, together with copies of such financing statements (none of which shall cover any Purchased Assets or interests therein or proceeds of any thereof other than those in favor of Agent), and tax and judgment lien search reports from a Person satisfactory to Agent showing no evidence of such lien filed against Seller.
UCC Search Reports. The Agent shall have received UCC search reports acceptable to the Agent, covering the Borrower or the applicable Subsidiary, as applicable, for each filing office in which a financing statement in favor of the Agent for the benefit of the Lenders has been or is being filed to perfect the security interests granted to the Agent for the benefit of the Lenders in the Security Agreement and the Subsidiary Security Agreement and for each filing office otherwise specified by the Agent, which show only Liens which have been terminated (or which are being terminated simultaneously with the closing of the Credit Facilities), Liens permitted under Section 10.3 and Liens which are otherwise acceptable to the Agent.
UCC Search Reports. UCC Search Reports in the name of the Company shall have been obtained from the Office of the Secretary of State of New York.
UCC Search Reports. The Company shall have delivered to the Bank uniform commercial code search reports acceptable to the Bank covering the Company or the applicable Material Subsidiary, as applicable, for each filing office in which a financing statement in favor of the Bank has been filed to perfect the security interests granted to the Bank in the Security Agreement or any Subsidiary Security Agreement and for each filing office otherwise specified by the Bank, which show only such financing statements as are acceptable to the Bank.
UCC Search Reports. As promptly as practicable after the date of the initial Borrowing, furnish to the Agent completed requests for information listing the financing statements referred to in Section 3.01(n)(viii)(B) and all other effective financing statements filed in the jurisdictions referred to in Section 3.01(n)(viii)(B) that name any Loan Party as debtor, together with copies of such other financing statements.
UCC Search Reports. UCC Search Reports in the name of United and Portland shall have been obtained from all appropriate government offices.
