The documents listed on part V of Schedule B are required to be delivered on or before the effective date of this Agreement. The Administrative Agent and each Agent shall have received all fees and expenses required to be paid pursuant to the terms of this Agreement (including, without limitation, Section 10.3 hereof), the Fee Letter and any other fee, charge, or expense required to be paid prior to the effectiveness of this agreement.
