Conditions Precedent to Obligations of the Acquirer. The obligations of the Acquirer to complete the Transaction is subject to the satisfaction, at or prior to Completion, of each of the following conditions (unless satisfaction of any such condition is waived by the Acquirer):

Conditions Precedent to Obligations of the Acquirer. The obligation of the Acquirer to consummate the Closing is subject to the fulfillment, at or prior to the Closing, of each of the following conditions, and failure to satisfy any such condition shall excuse and discharge all obligations of the Acquirer to carry out the provisions of this Agreement unless such failure is waived in writing by the Acquirer. Promptly after becoming aware that any of the following conditions has not been or cannot be satisfied at or prior to the Closing, the Acquirer shall so notify all other parties to this Agreement.
