Conditions Precedent to Third Restatement Effective Date. The occurrence of the Third Restatement Effective Date pursuant to Section 13.10, and the obligation of each Bank to continue and/or make Loans hereunder, and the obligation of the Letter of Credit Issuer to issue Letters of Credit hereunder, in each case on the Third Restatement Effective Date, are subject at the time of the occurrence of the Third Restatement Effective Date to the satisfaction of the following conditions:
