CONDITIONS TO DISBURSEMENTS AND CERTAIN LOANS. Each Disbursement or Loan, the proceeds of which are to be used to finance or reimburse a portion of the Phase I-A Costs is subject to the following conditions precedent (which conditions may be waived at the sole discretion of the Administrative Agent); provided that prior to August 5, 2002 the Borrowers will be permitted to receive Disbursements for Phase I-A Costs in an aggregate amount not to exceed $10,000,000 without complying with the first sentence of subsection 4.4B, subsection 4.4D, the first sentence of subsection 4.4E and subsections 4.4I and 4.4J:
