The obligations of the Seller, the U.K. Subsidiary and the French Holding Company under the Operative Documents to consummate, or to cause to be consummated, the transactions contemplated to be consummated at the Closing are subject to the satisfaction of the following further conditions, any one or more of which may be waived in writing by Seller:
