Conduct of Business; Maintenance of Existence. (a) The Borrower and its Material Subsidiaries will continue to engage primarily in business of the same general type as now conducted by the Borrower and its Material Subsidiaries.

Conduct of Business; Maintenance of Existence. Each Corporate Credit Party (a) shall conduct its business substantially as now conducted or as otherwise permitted hereunder and preserve all of its rights, privileges and franchises necessary and desirable in connection therewith, and (b) shall at all times maintain, preserve and protect all of the Collateral and such Credit Party's other property, used or useful in the conduct of its business and keep the same in good repair, working order and condition (taking into consideration ordinary wear and tear) and from time to time make, or cause to be made, all necessary or appropriate repairs, replacements and improvements thereto consistent with industry practices.
Conduct of Business; Maintenance of Existence. Each Borrower will do or cause to be done all things necessary to preserve and to keep in full force and effect its corporate existence and rights and its franchises, trade names, patents, trademarks, and permits which are necessary for the continuance of its business; maintain management satisfactory to Required Banks; and continue to engage principally in the business currently operated by such Borrower.

Conduct of Business; Maintenance of Existence. The Borrower will, and will cause each of its Subsidiaries to, (a) engage solely in the Permitted Businesses, (b) renew and keep in full force and effect its corporate existence, (c) maintain all of its rights, privileges and franchises necessary or desirable in the normal conduct of its business except as otherwise permitted pursuant to Section 8.07, and (d) comply with all Requirements of Law and any indenture, agreement or other instrument to which it is a party or by which it or any of its property is bound, except for any failure to comply therewith that, individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect.

Conduct of Business; Maintenance of Existence. The Borrower shall (i) engage in business solely for the purpose of fulfilling its obligations under the Operative Documents and (ii) preserve, renew and keep in full force and effect its corporate existence and take all reasonable action to maintain all rights, privileges and franchises necessary or desirable in the normal conduct of business of the Borrower; provided that the Borrower shall not be required to maintain any such rights, privileges or franchises, if the failure to do so could not reasonably be expected to result in a Material Adverse Effect; comply with all contractual obligations and requirements of law, except to the extent that failure to comply therewith could not reasonably be expected to result in a Material Adverse Effect; and comply with the provisions of its Memorandum and Articles of Association.
