Conduct of Partnership. After the formation of Freeport and until such time as the First Option is exercised, Cheniere will cause Freeport LNG GP, Inc., as managing partner of Freeport, to conduct the business of the partnership as contemplated by the parties to this Agreement on the date hereof, including without limitation complying with the terms of the Partnership Agreement and the purpose of the partnership as stated therein and developing the Project in accordance with customary and reasonably prudent development standards for an LNG receiving and regasification facility.

Conduct of Partnership. During the period from the date hereof to the Closing, except as otherwise contemplated by this Agreement, the Partnership shall operate only in the ordinary course of business consistent with past practice and shall maintain or cause to be maintained the Partnership Assets in good repair, order and condition, and shall take all actions necessary to deliver to Purchaser the Partnership Assets at the Closing free and clear of any Encumbrances other than Permitted Encumbrances. Without limiting the generality of the foregoing, and except as otherwise provided in this Agreement or Section 5.2 of the Partnership Disclosure Schedule, from the date of this Agreement to the Closing, without the prior written consent of Purchaser, the Partnership shall not:
Conduct of Partnership. The Partners as partners by this Agreement desire to form the Partnership as a general partnership under the laws of the Commonwealth of Pennsylvania solely for the purpose set forth in this Agreement, and in connection therewith desire to set forth their agreements and understandings as stated in this Agreement. The Partners agree that the Partnership shall be operated pursuant to the terms and conditions set forth in this Agreement, and to the extent not inconsistent therewith, the Act. The Partners agree to execute or cause the Partnership to execute any filings, including filings with respect to any fictitious names of the Partnership, and to do any other acts as may be necessary or appropriate to comply with the laws of operation of a general partnership in the Commonwealth of Pennsylvania and any other jurisdiction in which the Partnership may conduct business.

  • Termination of Partnership The Partnership shall terminate when all assets of the Partnership, after payment of or due provision for all Liabilities of the Partnership, shall have been distributed to the Partners in the manner provided for in this Agreement, and the Certificate shall have been canceled in the manner provided by the Act.

  • Consent of Partners Each Partner hereby expressly consents and agrees that, whenever in this Agreement it is specified that an action may be taken upon the affirmative vote or consent of less than all of the Partners, such action may be so taken upon the concurrence of less than all of the Partners and each Partner shall be bound by the results of such action.

  • Purpose of Partnership The exclusive purpose of the Partnership shall be (i) to own and operate those certain restaurants known as Outback Steakhouse® at those addresses listed on Exhibit A, and such additional restaurants, if any, as may be approved by the Company in its sole discretion and as may hereafter be established by the Partnership (individually, the “Restaurant,” or collectively, the “Restaurants”), utilizing the System and the Proprietary Marks owned by or licensed to the Company and (ii) to engage in any other lawful act, business or activity for which limited partnerships may be formed under the Act and engage in any and all activities necessary, advisable, convenient or incidental thereto. The Limited Partners acknowledge and agree that as between the parties hereto, the Company is the sole and exclusive owner of the System and the Proprietary Marks and neither the Limited Partners nor the Partnership have any right, title, or interest in or to the System or the Proprietary Marks, except as specifically provided in Section 4.5 hereof. Nothing contained herein shall be construed as granting the Partnership or any Partner any exclusive or protected trading area. Nothing contained herein shall be construed as obligating the Company to open additional restaurants on behalf of the Partnership or to authorize the Partnership to open additional Restaurants. Nothing contained herein shall be construed as limiting the Company’s, or its Affiliates’, right to open, or license others to open, Outback Steakhouse® restaurants at any location, and neither the Partnership nor any Limited Partner shall have any interest in such restaurants.

  • Formation and Qualification of the Partnership Entities Each of Enterprise Products Holdings LLC, a Delaware limited liability company (the “General Partner”), the Partnership, EPOGP, EPO and their respective subsidiaries listed on Schedule III hereto (each, a “Partnership Entity” and collectively, the “Partnership Entities,” and the subsidiaries of the Partnership listed on Schedule III hereto, the “Subsidiaries”) has been duly formed or incorporated, as the case may be, and is validly existing in good standing under the laws of its jurisdiction of formation or incorporation, as the case may be, with all corporate, limited liability company or partnership, as the case may be, power and authority necessary to own or hold its properties and conduct the businesses in which it is engaged and, in the case of the General Partner and EPOGP, to act as general partner of the Partnership and managing member of EPO, respectively, in each case in all material respects as described in the Registration Statement, the Pricing Disclosure Package and the Prospectus. Each Partnership Entity is duly registered or qualified to do business and is in good standing as a foreign corporation, limited liability company or limited partnership, as the case may be, in each jurisdiction in which its ownership or lease of property or the conduct of its businesses requires such qualification or registration, except where the failure to so qualify or register would not, individually or in the aggregate, have a material adverse effect on the condition (financial or otherwise), results of operations, business or prospects of the Partnership Entities taken as a whole (a “Material Adverse Effect”) or subject the limited partners of the Partnership to any material liability or disability.

  • Dissolution of Partnership The Partnership shall be dissolved upon the expiration of its term or the earlier occurrence of any of the following events.
