Common use of Conferment of authority Clause in Contracts

Conferment of authority. The Company hereby confirms that the foregoing appointments under Clauses 3.1 to 3.3 confer on each of the appointees and their respective delegates under Clause 3.4 all rights, powers, authorities and discretions on behalf of the Company which are necessary for, or incidental to, the performance of such appointee’s roles as a sponsor, global coordinator, lead manager, bookrunner or Hong Kong Underwriter (as the case may be) and hereby agrees to ratify and confirm everything each such appointee or each such delegate has done or shall do within the scope of such appointments or in the exercise of such rights, powers, authorities and discretions.

The Company hereby confirms that the foregoing appointments under Clauses 3.1 to 3.3 and 3.2 confer on each of the appointees and its affiliates, and their respective delegates under Clause 3.4 3.5, all rights, powers, authorities and discretions on behalf of the Company which are necessary for, or incidental to, the performance of such appointee’s its roles as a sponsor, global coordinator, lead manager, bookrunner one of the Joint Sponsors or Hong Kong Underwriter Dealers (as the case may be) of the Introduction, and hereby agrees to ratify and confirm everything each such appointee or each such appointee, affiliate and delegate under Clause 3.5 has done or shall do within the scope of such appointments or in the exercise of such rights, powers, authorities and discretions.

The Company hereby confirms that the foregoing appointments under Clauses 3.1 to 3.3 and 3.4 confer on each of the appointees and its Affiliates, and their respective delegates under Clause 3.4 3.5, all rights, powers, authorities and discretions on behalf of the Company which are necessary for, or incidental to, the performance of such appointee’s its roles as a sponsorJoint Sponsor, global coordinatorJoint Global Coordinator, lead managerJoint Bookrunner, bookrunner Joint Lead Manager or Hong Kong Underwriter (as the case may be) ), and hereby xxxxxx agrees to ratify and confirm everything each such appointee or each such appointee, Affiliate and delegate under Clause 3.5 has done or shall do within the scope of such appointments or in the exercise of such rights, powers, authorities and discretions.
