Reduction of indicative Offer Price range or number of Offer Shares. The Sole Global Coordinator (acting in such capacity and on behalf of the Hong Kong Underwriters) may, where considered appropriate, based on the level of interest expressed by prospective investors during the book-building process in respect of the International Offering, and with the prior consent of the Company, reduce the number of Offer Shares initially offered in the Global Offering and/or the indicative Offer Price range below that stated in the Hong Kong Prospectus at any time prior to the morning of the Acceptance Date, in which event the Company shall, as soon as practicable following the decision to make such reduction and, in any event, not later than the morning of the Acceptance Date, cause a notice of the reduction in the number of Offer Shares initially offered in the Global Offering and/or the indicative offer price range to be posted on the website of the SEHK (xxx.xxxxxxxx.xx) and on the website of the Company (xxx.xxxxxxx.xxx) notices of the reduction. Such notice shall also include confirmation or revision, as appropriate, of the working capital statement and the Global Offering statistics set out in the Hong Kong Prospectus and any other financial information which may change as a result of such reduction in accordance with the disclosure requirement set out in HKEX-GL90-18, as applicable.

Such notice shall also include confirmation or revision, as appropriate, of the working capital statement and the Global Offering statistics set out in the Hong Kong Prospectus and any other financial information which may change as a result of such reduction.

Upon issue of such notice, the revised indicative Offer Price range and/or number of Offer Shares shall be final and conclusive, and the Offer Price, if agreed upon by the Sole Global Coordinator (for itself and on behalf of the Hong Kong Underwriters) and the Company, will be fixed with such revised range. Such notice shall also include confirmation or revision, as appropriate, of the working capital statement and the Global Offering statistics set out in the Hong Kong Prospectus and any other financial‌ information which may change as a result of such reduction; and such supplemental offering documents as may be required by Laws or any Authority to be published in such manner as the relevant Laws or Authority may require as soon as practicable following the decision to make such reduction. The Sole Global Coordinator shall not be liable for any expenses, losses or claims as a result of any reduction of the number of Offer Shares and/or any change of the indicative offer price range.

The Rights Agent shall be fully protected in relying on any such certificate and on any adjustment therein contained.

  • Adjustment to Number of Shares Upon each adjustment of the Exercise Price pursuant to Section 4.01, each Warrant shall thereupon evidence the right to purchase that number of shares of Common Stock (calculated to the nearest 1/10,000th of a share) obtained by multiplying the number of shares of Common Stock purchasable immediately prior to such adjustment upon exercise of the Warrant by the Exercise Price in effect immediately prior to such adjustment and dividing the product so obtained by the Exercise Price in effect immediately after such adjustment.

If an event occurs which requires an adjustment under both this Section 11(a)(i) and Section 11(a)(ii), the adjustment provided for in this Section 11(a)(i) shall be in addition to, and shall be made prior to, any adjustment required pursuant to Section 11(a)(ii).
