Conferral Regarding Unforeseen Events. The Parties acknowledge that there may be unforeseen events or circumstances that require consultation and, if applicable, modifications to the terms of this Agreement. Without limiting the description of those potential circumstances, the Parties acknowledge that it may be necessary to modify this Agreement to account for or accommodate: i) requirements of funding entities; ii) unforeseen site conditions or cost increases associated with construction or redevelopment; iii) permitting or licensing by governmental authorities; or iv) extreme weather, calamitous event, or public emergency. In light of those possibilities, the Parties agree that they will confer in good faith should modifications or changes to this Agreement become necessary as a result of unforeseen events, requirements, or conditions.
