Confidencialidad del Contrato y de la Información. Los términos de este Contrato, incluyendo su precio, son información confidencial de John Deere. Cualquier negocio, operaciones o información técnica suministrada por John Deere que esté señalada como privada o confidencial se considerará información confidencial de John Deere (“Información”). Durante el Plazo de Vigencia y por un período adicional de tres (3) años, el Cliente xxxxxx (a) mantener en manera confidencial toda la Información recibida de Xxxx Xxxxx, (b) usar dicha Información únicamente con los propósitos previstos en el presente Contrato, (c) reproducir dicha Información únicamente dentro de la medida necesaria para dichos propósitos, (d) restringir la revelación de dicha Información a sus empleados y consultores que deban necesariamente conocer dicha Información a fin de realizar debidamente su trabajo, y (e) abstenerse de revelar dicha Información a terceros, sin la previa aprobación de John Deere por escrito. Las restricciones en el uso y revelación de la Información por parte del Cliente no se aplicarán a ninguna Información respecto de la cual el Cliente pueda demostrar: (i) que fue íntegra e independientemente desarrollada por el Cliente sin hacer uso de la Información de John Deere; (ii) que es o se ha convertido en disponible al público sin que ello haya implicado el incumplimiento de este Contrato por el Cliente; (iii) que, al momento xx xxxxx sido revelada, el Cliente xxxxx que estaba libre de restricciones; (iv) que John Deere ha aprobado por escrito su divulgación, o (v) que existe una orden judicial o gubernamental válida en el país en el que el Cliente está situado que exige su revelación a la autoridad competente, únicamente en la medida y para los propósitos de dicha orden, siempre que -ello no obstante- el Cliente notifique previamente por escrito a John Deere acerca de la orden y permita a John Deere procurar un remedio apropiado para proteger la Información, salvo cuando tal notificación se encontrara prohibida por ley. Ante la resolución anticipada de este Contrato, el Cliente xxxxxx oportunamente devolver a John Deere o destruir (y certificar dicha destrucción) toda Información confidencial o privada recibida. Si las Partes han suscripto un acuerdo de confidencialidad separado para la protección de información confidencial o privada, los términos y condiciones de dicho acuerdo prevalecerán por sobre los de esta Cláusula.
