Common use of Confidentiality of City Information Clause in Contracts

Confidentiality of City Information. During the performance of services under this Agreement, Consultant may gain access to and use City information regarding, but not limited to, procedures, policies, training, operational practices, and other vital information (hereafter collectively referred to as "City Information") which are valuable, special and unique assets of the City. Consultant agrees that it will not use any information obtained as a consequence of the performance of services under this Agreement for any purpose other than fulfillment of Consultant’s scope of work , to protect all City Information and treat it as strictly confidential and proprietary to City, and that it will not at any time, either directly or indirectly, divulge, disclose or communicate in any manner any City Information to any third party, other than its own employees, agents or subcontractors who have a need for the City Information for the performance of services under this Agreement, without the prior written consent of City, or as required by law. Consultant shall treat all records and work product prepared or maintained by Consultant in the performance of this Agreement as confidential. A violation by Consultant of this section shall be a material violation of this Agreement and will justify legal and/or equitable relief. Consultant’s obligations under this section shall survive the completion of services, expiration or termination of this Agreement.
