Confidentiality of Employment. (a) The parties recognize and agree that, during the course of Gxxxxxx'x employment with OXIS, Gxxxxxx had access to and became acquainted with OXIS’ lists of clients, projects, computer programs, business plans and strategies, prices, budgets, techniques, inventions, improvements and similar confidential or proprietary materials or information respecting OXIS’ or its clients’ business affairs. In addition, Gxxxxxx had access to and became acquainted with confidential information of a personal nature of OXIS and its employees, officers and directors, including, but not limited to, such persons’ salary and benefits, special skills and knowledge, identities and job performance. The parties agree that such business information and information concerning OXIS and/or its employees, officers and directors as set forth above and any other information concerning OXIS reasonably understood to be confidential constitutes “Confidential Information.” All Confidential Information which came into Gxxxxxx’x possession shall remain the exclusive property of OXIS. Under no circumstances can such Confidential Information be disclosed, disseminated or published in any manner without the prior written consent of OXIS. Any such unauthorized disclosure shall entitle OXIS and/or any of their directors and officers to all the remedies at law and equity, including the right to seek and obtain a preliminary and permanent injunction. This Agreement is in addition to, and does not supersede or affect, any prior confidentiality agreement which may have been signed by Gxxxxxx which shall remain in full force and effect. Notwithstanding the foregoing, “Confidential Information” shall not include any information which (i) becomes generally available to the public or the sweeper industry by any means other than disclosure by Gxxxxxx, (ii) becomes available to Gxxxxxx in documents form on a non-confidential basis from a source other OXIS, which source is not prohibited from disclosing such information to Gxxxxxx by contractual, legal or fiduciary obligation to OXIS, or (iii) was independently acquired by Gxxxxxx prior to his employment by OXIS as evidenced by written records.

Executive’s obligation under this Section 4.3(a) shall not apply to any information which (i) is known publicly (including information known publicly within the relevant trade or industry); (ii) is in the public domain or hereafter enters the public domain without the fault of Executive; (iii) is known to Executive prior to his receipt of such information from the Company, as evidenced by written records of Executive; or (iv) is hereafter disclosed to Executive by a third party not under an obligation of confidence to the Company. Executive agrees not to remove from the premises of the Company, except as a director or an employee of the Company in the performance of his duties for the Company and its affiliates or except as specifically permitted in writing by the Company, any document or other object containing or reflecting any such confidential information. Executive recognizes that all such documents and objects, whether developed by him or by someone else, will be the sole exclusive property of the Company. Upon termination of his employment hereunder, Executive shall forthwith deliver to the Company all such confidential information, including without limitation all lists of customers, correspondence, accounts, records and any other documents or property made or held by him or under his control in relation to the business or affairs of the Company, and no copy of any such confidential information shall be retained by him; provided, however, that nothing herein shall prevent Executive from retaining (i) his papers and other materials of a personal nature, including, without limitation, photographs, correspondence, personal diaries, calendars, personal files and phone books, (ii) information showing his compensation or relating to reimbursement of his business expenses, (iii) information that is necessary for tax purposes, and (iv) copies of plans, programs, policies and agreements relating to his employment, or termination thereof, with the Company and its affiliates. Anything herein or elsewhere to the contrary notwithstanding, the provision of this Section 4.3(a) shall not apply (i) when disclosure is required by law or by any court, arbitrator, mediator or administrative or legislative body (including any committee thereof) with jurisdiction to order Executive to disclose or make accessible any information or (ii) with respect to any other litigation, arbitration or mediation involving this Agreement or any other agreement between the parties, including, without limitation, the enforcement of such agreements.

  • Competition After Termination of Employment The Company shall not pay any benefit under this Agreement if the Executive, without the prior written consent of the Company and within 2 years from the Executive’s Termination of Employment, engages in, becomes interested in, directly or indirectly, as a sole proprietor, as a partner in a partnership, or as a substantial shareholder in a corporation, or becomes associated with, in the capacity of employee, director, officer, principal, agent, trustee or in any other capacity whatsoever, any enterprise conducted in the trading area (a 50 mile radius) of the business of the Company, which enterprise is, or may deemed to be, competitive with any business carried on by the Company as of the date of termination of the Executive’s employment or retirement. This section shall not apply following a Change in Control.

  • Effect of Termination of Employment The provisions of this Section 6 shall apply in the event of termination of Executive’s employment, pursuant to Section 5, or otherwise.

  • Termination of Employment Agreement (a) Effective as of the Effective Date and immediately prior to the Effective Time, the Employment Agreement is hereby terminated and shall be of no further force or effect whatsoever; provided, however, that, and notwithstanding anything in this Agreement to the contrary, such termination shall be contingent on the closing of the Merger.
