Confidentiality of Know-How. Nanobiotix has taken commercially reasonable measures consistent with industry practices to protect the secrecy, confidentiality, and value of all Nanobiotix Know-How. [***] the Nanobiotix Know-How existing as of the Effective Date has been kept confidential or has been disclosed to Third Parties only under terms of confidentiality.
Confidentiality of Know-How. With respect to those portions of the Galapagos Know-How the confidentiality of which is material to the Exploitation of any Significant Pre-Program Activities, Galapagos Molecule or Galapagos Product, such portions of the Galapagos Know-How have been kept confidential or have been disclosed to Third Parties only under terms of confidentiality or if published or otherwise publicly disclosed, were published or publicly disclosed in a manner that would not reasonably be expected to adversely impact the patentability of such Galapagos Know-How. To Galapagos’ and its Affiliates’ Knowledge, no breach of such confidentiality has been committed by any Third Party.
Confidentiality of Know-How. The Licensee undertakes that for a period of 15 years from the Commencement Date, it shall protect the Know-how as Confidential Information and shall not use the Know-how for any purpose except as expressly licensed hereby and in accordance with the provisions of this Agreement.
Confidentiality of Know-How. Landos has taken commercially reasonable measures consistent with industry practices to protect the secrecy, confidentiality, and value of all Licensed Know-How. [***], the Licensed Know-How existing as of the Effective Date has been kept confidential or has been disclosed to Third Parties only under terms of confidentiality.
Confidentiality of Know-How. Lyra has taken commercially reasonable measures consistent with its usual business practice (but in any event no less than industry standard practices) to protect the secrecy, confidentiality, and value of all Licensed Know-How. To Lyra’s knowledge, the Licensed Know-How existing as of the Effective Date has been kept confidential or has been disclosed to Third Parties only under terms of confidentiality.
Confidentiality of Know-How. 3.1 It is understood that for any sample(s) provided pursuant to this Agreement, the providing party shall furnish the receiving party with a written itemization of any properties and characteristics of said sample(s) which the providing party deems as Confidential Know-how hereunder. It is further understood that such deemed Confidential Know-how shall not include specific properties and characteristics of sample(s) which have been requested by the receiving party, or which are based on information disclosed by the receiving party.
3.2 Each of the parties agrees to give the other party’s Confidential Know-how the same degree of protection that it gives its own Confidential Know-how and, unless written consent of the disclosing party is obtained, not to disclose any of the Confidential Know-how to any Third Party for a period of ten (10) years after the date of disclosure or ten (10) years after the termination of ZEOLYST, whichever last occurs. This requirement for confidentiality and restriction on disclosure shall not apply to know-how which:
a. is at the time of disclosure or thereafter becomes in the public domain by publication or otherwise, through no breach or fault on the part of SHELL or PQ; or
b. is in the possession of SHELL or PQ at the time of disclosure; or
c. is received in good faith by SHELL or PQ from a Third Party having a bona fide right to disclose the information and who did not require SHELL or PQ to hold such information in confidence; or
d. is, as can be verified by written documentation, subsequently developed by employees or consultants of SHELL or PQ independent of disclosure hereunder, it being understood that specific Confidential Know-how disclosed under this Agreement shall not be deemed to be within the scope of the foregoing exceptions merely because such information is embraced by more general know-how within one of the above exceptions.
Confidentiality of Know-How. With respect to those portions of the Gilead Licensed Know-How the confidentiality of which is material to the Exploitation of any Gilead Program, Gilead Molecule or Gilead Product existing as of the Effective Date, such portions of the Gilead Licensed Know-How have been kept confidential or have been disclosed to Third Parties only under terms of confidentiality or if published or otherwise publicly disclosed, were published or publicly disclosed in a manner that would not reasonably be expected to adversely impact the patentability of such Gilead Licensed Know-How. To Gilead’s Knowledge, no breach of confidentiality of such portions of Gilead Licensed Know-How has been committed by any Third Party.
Confidentiality of Know-How. Neither party may disclose Know-How to any third party, other than their consultants and independent contractors as described below, without prior written approval of the non-disclosing party. LICENSEE and UKRF will restrict disclosure of Know-How to its employees, officers, managers, consultants and financial and legal advisors with a need to know; will advise the same of the obligations herein; and will require each such recipient to be bound by comparable written confidentiality obligations. Each party shall take reasonable precautions to prevent the inadvertent or unauthorized disclosure of Know-How in their possession, including at least those precautions taken by each party to protect their own Know-How of similar nature and importance. For the purposes of this Section, “need to know” means that the person requires the Know-How to perform his, her or its responsibilities in connection with this Agreement or to advise the party in confidence regarding the Agreement.
Confidentiality of Know-How. To the knowledge of Infinity and its Affiliates, no material breach of confidentiality has been committed by any Third Party with respect to the Infinity Know-How and Infinity has used reasonable measures to protect the confidentiality thereof.
