Confidentiality of Protected Information. Vendor agrees that the confidentiality of Protected Information that it receives, processes, or stores will be handled in accordance with all state and federal laws that protect the confidentiality of Protected Information, and in accordance with the BOCES Policies on Data Security and Privacy and the Parent’s Bill of Rights for Data Privacy and Security, copies of which are Attachment B to this Addendum.

Confidentiality of Protected Information. As a condition to CONSULTANT’s engagement hereunder, CONSULTANT to enter into CLIENT’s standard Non-Disclosure Agreement, a form of which is attached hereto as Exhibit 1, pursuant to which CONSULTANT agrees to maintain in confidence and not to disclose to any person, firm or corporation, without CLIENT’s prior consent, any trade secret or confidential information, knowledge or data relating to the products, process or operations of the CLIENT. CONSULTANT further agrees to maintain in confidence and not to disclose to any person, firm or corporation any data, information, technology or material developed or obtained by CONSULTANT during the term of this Agreement. CONSULTANT shall not disclose any information to CLIENT which CONSULTANT believes to be confidential or proprietary to itself or any third party.
Confidentiality of Protected Information. During the term of this Agreement, each Party and its Affiliates (as such, a “Protecting Party”) will (x) keep all of the Confidential Information of any relevant other Party, any third-party Service Provider and their respective Affiliates (as such, a “Protected Party”) confidential, (y) not disclose any of the Confidential Information in any manner whatsoever, without the prior written consent of the Protected Party and (z) not use any of the Confidential Information in any manner whatsoever other than in connection with the provision of the Services hereunder, unless the Protecting Party can reasonably demonstrate that:
