Common use of Confirmatory Review Clause in Contracts

Confirmatory Review. Subject to applicable Laws, New Gold shall continue to make available and cause to be made available to Western and the agents and advisors thereto all documents, agreements, corporate records and minute books as may be necessary to enable Western to effect a thorough examination of New Gold and the New Gold Material Subsidiaries and the business, properties and financial status thereof, including the provision of unaudited monthly financial statements of New Gold, and shall cooperate with Western in securing access for Western to any documents, agreements, corporate records or minute books not in the possession or under the control of New Gold. Subject to applicable Laws, upon reasonable notice, New Gold shall, and shall cause the New Gold Material Subsidiaries to, afford officers, employees, counsel, accountants and other authorized representatives and advisors of Western reasonable access, during normal business hours from the date hereof until the earlier of the Effective Time or the termination of this Agreement, to the properties, books, contracts and records as well as to the management personnel of New Gold and the New Gold Material Subsidiaries, and, during such period, New Gold shall furnish promptly to Western all information concerning the business, properties and personnel of New Gold and the New Gold Material Subsidiaries as Western may reasonably request.

Subject to applicable Laws, New Gold Western shall continue to make available and cause to be made available to Western New Gold and the agents and advisors thereto all documents, agreements, corporate records and minute books as may be necessary to enable Western New Gold to effect a thorough examination of New Gold Western and the New Gold Material Western Subsidiaries and the business, properties and financial status thereof, including the provision of unaudited monthly consolidated financial statements of New GoldWestern together with the consolidation therefor, and shall cooperate with New Gold and Western in securing access for Western New Gold to any documents, agreements, corporate records or minute books not in the possession or under the control of New GoldWestern. Subject to applicable Laws, upon reasonable notice, New Gold Western shall, and shall cause the New Gold Material Western Subsidiaries to, afford officers, employees, counsel, accountants and other authorized representatives and advisors of Western New Gold reasonable access, during normal business hours from the date hereof until the earlier of the Effective Time or the termination of this Agreement, to the properties, books, contracts and records as well as to the management personnel of New Gold Western and the New Gold Material Western Subsidiaries, and, during such period, New Gold Western shall, and shall cause the Western Subsidiaries to, furnish promptly to Western New Gold all information concerning the business, properties and personnel of Western and the Western Subsidiaries as New Gold and the New Gold Material Subsidiaries as Western may reasonably request.
