Conflicts of Terms. Your Service Agreement and our contractual relationship with you shall be governed by and construed in accordance with the substantive laws of the State of Iowa, without regard to the principles of conflicts of law. Any conflict among or between the terms and making up your Service Agreement will be resolved in accordance with the following order of precedence (from highest to lowest priority):
(a) your Service Application/Agreement, including the terms of your selected Service Package;
(b) the Service-Specific Terms and Conditions for each Service and our Service Catalogs;
(c) our Acceptable Use Policy; and
(d) these General Terms and Conditions of Service.
Conflicts of Terms. In the event of any conflict between any term, covenant or condition of this Agreement and any term, covenant of the Subordinated Debt, or any document executed in connection therewith or the indebtedness evidenced thereby, the provisions of this Agreement shall control and govern.
Conflicts of Terms. In the event of conflict or inconsistency between the terms and conditions of this Agreement and those of the Stock Option Agreement, with respect to the events referred in Section 17.4, the terms and conditions of the Stock Option Agreement shall supersede.
Conflicts of Terms. In the event of any conflicts or inconsistency between this Agreement and any other agreement between Customer and the Bank this Agreement shall prevail unless expressly agreed otherwise.
Conflicts of Terms. In the event of any conflict between any of the terms of this Agreement and any of the terms of the Indemnification Addendum at Exhibit C, the terms of the Agreement will prevail. In the event of any conflict between any of the terms of this Agreement and any of the terms of a separate arrangement or agreement for financial terms as permitted under Section 2.4 hereof (including any other indemnification agreement pursuant to Section 4.10 hereof), the terms of the Agreement will also prevail.
Conflicts of Terms. The provisions of the Exhibits and Schedules hereto and the other Loan Documents are incorporated in this Agreement by this reference thereto. Except as otherwise provided in this Agreement and except as otherwise provided in the other Loan Documents, if any provision contained in this Agreement is in conflict with, or inconsistent with, any provision of the other Loan Documents, the provisions contained in this Agreement shall control.
Conflicts of Terms. If there is any conflict or inconsistency among terms, the Contract as amended, followed by TDA’s RFP terms and conditions, shall control.
Conflicts of Terms. Except as otherwise provided in this Agreement or any of the Other Agreements by specific reference to the applicable provisions of this Agreement, if any provision contained in this Agreement conflicts with any provision in any of the Other Agreements, the provision contained in this Agreement shall govern and control.
Conflicts of Terms. In the event of any conflict between any term, covenant or condition of this Agreement and any term, covenant or condition of the December Subordinated Debt or the September Subordinated Debt, or any document executed in connection therewith or the indebtedness evidenced thereby, the provisions of this Agreement shall control and govern. In the event of any conflict between any term, covenant or condition of this Agreement and any term, covenant or condition of the December Security Agreements or the June Security Agreements, the provisions of this Agreement shall control and govern.
Conflicts of Terms. The Services and Work Product shall be provided solely ------------------ under the terms of this Agreement and its attachments, which shall override any language in any other document.
