Consent to Amendment and Restatement. By executing this Agreement, each party hereto consents to this amendment and restatement of the Initial Stockholders Agreement pursuant to the terms of Section 16.1 of the Initial Stockholders Agreement.
Consent to Amendment and Restatement. By executing this Agreement, each Bank which is an Existing Bank consents and agrees to this amendment and restatement of the Existing Credit Agreement and the transactions contemplated hereby and the parties hereto acknowledge and agree that (i) this Agreement is given in amendment to, restatement of and substitution for the Existing Credit Agreement and (ii) this Agreement and the Notes hereunder evidence the same obligations as under the Existing Credit Agreement and the Notes thereunder.
Consent to Amendment and Restatement. The consent to this amendment and restatement of the 1996 Amended and Restated Credit Agreement executed by The Nova Scotia Bank and Societe Generale;
Consent to Amendment and Restatement. The undersigned, Enstar Limited, hereby AGREES and ACKNOWLEDGES the amendment and restatement set forth in Section 1.1 of this Agreement.
Consent to Amendment and Restatement. By executing this Agreement, each Lender which is an Existing Lender consents and agrees to this amendment and restatement of the Existing Agreement and the transactions contemplated hereby.
Consent to Amendment and Restatement. The parties hereto acknowledge and agree that this Pledge Agreement is given in amendment to, restatement of and substitution for the Existing Pledge Agreement.
Consent to Amendment and Restatement. Each of the Parties to this Agreement, other than the APA Purchasers, hereby consents to the amendment and restatement of the Guaranty set forth in Section 2.1 of this Agreement.
Consent to Amendment and Restatement. The Pledgors hereby consent to the amendment and restatement of the Existing Credit Facility on the terms and conditions of the Credit Agreement and represent and warrant to the Administrative Agent and the Banks that there is no defense, counterclaim or offset of any type or nature under this Agreement, and that this Agreement is in full force and effect as to them after giving effect hereto and thereto.
Consent to Amendment and Restatement. Upon the Closing Date, this Agreement shall amend and restate the Existing Credit Agreement. All commitments of the Existing Lenders under the Existing Credit Agreement shall be terminated upon effectiveness of this Agreement in accordance with Section 5.1. The Lenders party hereto comprising the “Required Lenders” under the Existing Credit Agreement acknowledge and agree that (i) the Existing Agreement is hereby amended and restated, effective as of the Closing Date, as provided for herein, and (ii) prior notice by the Borrowers of (a) prepayment of the Loans under the Existing Credit Agreement and (b) termination of the Revolving Commitments under the Existing Credit Agreement, is hereby waived.
Consent to Amendment and Restatement. The parties hereto consent to the amendment and restatement of the First Amended and Restated Credit Agreement as set forth herein.
