Consent to Use of Financial Statements. The Acquiror Company’s independent auditors shall have consented to the use by the Acquiror Company following the consummation of the Share Exchange of all financial statements on which their audit opinion was issued in all filings to be made by the Acquiror Company with the SEC in which such financial statements are required.

Consent to Use of Financial Statements. The Sellers shall use commercially reasonable efforts, without the payment of money, to obtain the consent of the accountants preparing the financial statements described in Section 5.5 to use such financial statements in connection with public or private debt or equity financings of the Purchasers or their Affiliates or other documents filed by the Purchasers or their Affiliates with the U.S. Securities and Exchange Commission or any other Governmental Authority. In addition, the Sellers will not object to the use of such financial statements.
Consent to Use of Financial Statements. The Sellers hereby consent to the use of and reliance on any audited or unaudited financial statements relating to the Operating Company and Stellar Propane reasonably requested by Guarantor to be used in any public filings that Guarantor desires to make under the Securities Act, including any registration statements of Guarantor. In addition, the Sellers will use commercially reasonable efforts to obtain the consent of KPMG LLP to the use of and reliance on such financial statements. Prior to the Closing, the Sellers will provide Buyer and Guarantor such available information, and make available such personnel, as Buyer or Guarantor may reasonably request in order to assist Buyer and Guarantor to obtain financing or raise funds, including any public equity or debt offerings to be registered under the Securities Act.
Consent to Use of Financial Statements. Seller shall use commercially reasonable efforts to cause Seller’s auditors, Xxxxx Xxxxxxxx LLP, to consent to the use of the audited financial statements previously prepared by Xxxxx Xxxxxxxx LLP with respect to the Companies by Purchaser in its filings with the Securities and Exchange Commission.
Consent to Use of Financial Statements. The Company hereby consents to Parent’s inclusion of any audited or unaudited financial statements, including those contained in any Company SEC Documents, relating to and prepared by the Company reasonably requested by Parent to be used in any financing or any filings that Parent desires to make with the SEC. In addition, the Company will use reasonable best efforts, at Parent’s sole cost and expense, to obtain customary comfort letters from Deloitte & Touche LLP regarding financial statements of the Company as reasonably requested by the lead underwriter(s) or initial purchaser(s) in connection with any registered or private offering or otherwise and to obtain the consent of Deloitte & Touche LLP to the inclusion of the financial statements referenced above in appropriate filings with the SEC. Prior to the Closing, the Company will provide Parent such information regarding the Company’s business, and make available such personnel, as Parent may reasonably request in order to assist Parent in connection with financing activities, including any public offerings to be registered under the Securities Act or private offerings.
