AT Parent definition

AT Parent has the meaning set forth in Section 5.1.
AT Parent s election and subject to Section 9.4(c), any direct or indirect wholly owned Subsidiary of Parent other than Merger Sub may be merged with and into the Company instead of Merger Sub. In the event of such an election, the parties agree to execute an appropriate amendment of this Agreement in order to reflect such election.

  • All such Financial Statements shall be audited by an Approved Accounting Firm or by other independent certified public accountants reasonably acceptable to Lender and, in each case, shall bear the unqualified certification of such accountants that such Financial Statements present fairly in all material respects the financial position of AT Parent and the Borrowers, as applicable.

  • If Excluded Tower Sites are acquired after the Initial Closing Date by AT Parent or a non-Asset Entity subsidiary or non-Obligor subsidiary of AT Parent and such entity proposes to enter into a lease of the related site space with a party that is also a Tenant under a Tenant Lease, such new lease will be separate from and independent of any Tenant Lease between such party and an Asset Entity.

  • Nothing contained in this Indenture or any other Transaction Document shall prohibit AT Parent or any subsidiary or Affiliate of AT Parent (other than the Guarantor or an Obligor) from owning and managing wireless communications towers that are not Tower Sites and are consequently not included as Collateral (such sites, “Excluded Tower Sites”).

  • SAP Parent means SAP SE, a European Company (Societas Europaea, SE) established under the laws of Germany and the European Union, registered with the commercial register of the local court of Mannheim, Germany, under HRB 719915, with registered office in Walldorf, Germany, and business address at Dietmar-Hopp-Allee 16, 69190 Walldorf, Germany.

  • Parent means a "parent corporation," whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.

  • Acquisition Subsidiary shall have the meaning ascribed to it in the preamble hereto.

  • Ultimate Parent means a Company, which owns not less than fifty-one percent (51%) equity either directly or indirectly in the Parent and Affiliates.

  • Ultimate Parent Company means a company which owns at least twenty six percent (26%) equity in the Bidding Company or Member of a Consortium, (as the case may be) and in the Technically Evaluated Entity and/or Financially Evaluated Entity (as the case may be) and such Bidding Company or Member of a Consortium, (as the case may be) and the Technically Evaluated Entity and/or Financially Evaluated Entity (as the case may be) shall be under the direct control or indirectly under the common control of such company;

  • Acquisition Sub shall have the meaning set forth in the Preamble.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.

  • lone parent means a person who has no partner and who is responsible for and a member of the same household as a child or young person;

  • Parent Holding Company means any direct or indirect parent entity of Holdings which holds directly or indirectly 100% of the Equity Interest of Holdings and which does not hold Capital Stock in any other Person (except for any other Parent Holding Company).

  • Intermediate Parent means any Subsidiary of Holdings and of which the Borrower is a subsidiary.

  • Natural parent means a minor's biological or adoptive parent, and includes the minor's noncustodial parent.

  • Merger Subsidiary has the meaning set forth in the preamble to this Agreement.

  • Seller Parent has the meaning set forth in the Preamble.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Holdings has the meaning specified in the introductory paragraph to this Agreement.

  • Common parent, as used in this provision, means that corporate entity that owns or controls an affiliated group

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Parent Subsidiary means any Subsidiary of Parent.

  • AcquisitionCo means Diebold Holding Germany Incorporated & Co. KGaA a German partnership limited by shares (Kommanditgesellschaft auf Aktien - KGaA) that is a Wholly Owned Restricted Subsidiary of the Company and whose general partner is the Company.

  • Merger Sub has the meaning set forth in the Preamble.

  • Ultimate Parent Entity means a Constituent Entity of an MNE Group that meets the following criteria:

  • The Parents /"You" means any person who has signed the Acceptance Form and/or who has accepted responsibility for a child's attendance at this School. Parents are legally responsible, individually and jointly, for complying with their obligations under these Terms and Conditions. Those who have "parental responsibility" (i.e. legal responsibility for the child) are entitled to receive relevant information concerning the child unless a court order has been made to the contrary, or there are other reasons which justify withholding information to safeguard the interests and welfare and best interests of the child.

  • Parent Parties means Parent and Merger Sub.

  • CBC means the Collective Bargaining Committee

  • CCI means Charter Communications, Inc., a Delaware corporation, and any successor Person thereto.
