Consents and Approvals of Governmental Entities. Other than the ----------------------------------------------- Governmental Authorizations there is no requirement applicable to Seller to make any filing, declaration or registration with, or to obtain any permit, authorization, consent or approval of, any Governmental Entity as a condition to the lawful consummation by Seller of the transactions contemplated by this Agreement and the other agreements and instruments to be executed and delivered by Seller pursuant hereto or the consummation by Seller of the transactions contemplated herein or therein.

Other than (i) the permits, authorizations, consents and approvals of any Governmental Entity which are listed in Section 4.4 of the Seller Disclosure Schedule, and (ii) filings and/or notices under the Exchange Act or the rules of NASDAQ (the “Governmental Authorizations”), there is no requirement applicable to Seller to make any filing, declaration or registration with, or to obtain any permit, authorization, consent or approval of, any Governmental Entity as a condition to the consummation by Seller of the transactions contemplated by this Agreement and the other Transaction Documents to be executed and delivered by Seller pursuant hereto or the consummation by Seller of the transactions contemplated herein or therein.

Except as set forth in Section 4.3 or as otherwise set forth herein, there is no requirement applicable to Shareholder or Dock to make any filing, declaration or registration with, or to obtain any permit, authorization, consent or approval of, any Governmental Entity as a condition to the lawful consummation by Shareholder or Dock of the transactions contemplated by this Agreement and the other agreements and instruments to be executed and delivered by Shareholder or Dock pursuant hereto, or the lawful performance by Shareholder or Dock of the obligations to be performed by either of them hereunder and thereunder.

Other than the Governmental Authorizations there is no requirement applicable to Transferor to make any filing, declaration or registration with, or to obtain any permit, authorization, consent or approval of, any Governmental Entity as a condition to the lawful consummation by Transferor of the transactions contemplated by this Agreement and the other agreements and instruments to be executed and delivered by Transferor pursuant hereto or the consummation by Transferor of the transactions contemplated herein or therein.
Consents and Approvals of Governmental Entities. No consent, approval, order or authorization of, or registration, declaration or filing with, any Governmental Entity is required to be made or obtained by the Easyriders, Newriders, M&B or MBPCR in connection with the execution and delivery of this Agreement by the Sellers or the completion by the Sellers of the transactions contemplated hereby, except for (a) such consents, approvals, orders, authorizations, registrations, declarations and filings as are listed on Section 2.4 of the Disclosure Schedule and (b) such consents, approvals, orders ----------- or authorizations which if not obtained, or registrations, declarations or filings which if not made, would not have a Material Adverse Effect.
Consents and Approvals of Governmental Entities. No consent, approval or authorization of, or declaration, filing or registration with, any governmental entity is required to be made or obtained by Buyer in connection with the execution, delivery and performance of this Agreement and each Transaction Document to which Buyer is a party, including the issuance of the Consideration Shares to the Seller at the Closing, except for (i) any notice filings or registrations of transfer with any governmental entity that may be required in connection with the assignment and transfer of the Acquired Assets and (ii) to the extent applicable, filings under the Securities Act and/or state securities Laws, which have been made or will be made in a timely manner.
