Consents, Filings and Approvals. (A) Prior to the Closing Date, each of the Parties hereto shall use their Best Efforts to obtain at the earliest practicable date prior to the Closing all governmental and administrative consents, approvals, authorizations, waivers, permits, licenses, certificates and franchises, including filings pursuant to the Xxxx- Xxxxx-Xxxxxx Act as described in Section
Consents, Filings and Approvals. Section 2.3 of the Company Disclosure Schedule sets forth all Approvals from (a) third parties and (b) Governmental or Regulatory Authorities in each case as required in connection with the consummation of the transactions contemplated by this Agreement and the Ancillary Agreements (other than (i) notices under the HSR Act and the expiration of applicable waiting periods thereunder, (ii) such Approvals as may be required under state or federal securities Laws and (iii) such Approvals as may be required by Parent or Acquisition Sub.
Consents, Filings and Approvals. Parent has obtained all Approvals from (a) third parties and (b) Governmental or Regulatory Authorities required in connection with the consummation of the transactions contemplated by this Agreement and the Ancillary Agreements (other than (i) such Approvals as may be required under state or federal securities Laws (ii) notices under the HSR Act and the expiration of applicable waiting periods thereunder and (iii) such Approvals which, if not obtained or made, would not prevent Parent and the Acquisition Sub from consummating the Stock Purchase and the transactions contemplated by this Agreement).
Consents, Filings and Approvals. To the Knowledge of Edesa, other than in connection with the provisions of the Ontario Business Corporations Act, NASDAQ and Edesa’s charter documents, and as set out in Schedule 3.6, no consent, approval, Governmental Order or authorization of, or registration, declaration, qualification or filing with any federal, national, provincial, state or local Governmental Authority, or any other Person, is required to be made by Edesa in connection with the execution, delivery or performance of this Agreement by Edesa or the consummation by Edesa of the transactions contemplated hereby.
Consents, Filings and Approvals. Stellar is not required to obtain any consent, waiver, authorization or order of, give any notice to, or make any filing or registration with, any court or other federal, state, local or other governmental authority or other Person in connection with the execution, delivery and performance by Stellar of this Agreement, other than: (i) the filing and clearance of a proxy statement (the “Proxy Statement”) on Schedule 14A with the SEC relating to approval by a majority of the outstanding Stellar Shares voting in person or by proxy of the issuance of the Stellar Shares to the Shareholders and the Meeting Matters (collectively, the “Shareholder Approval”); (ii) the Shareholder Approval; (ii) the application to and approval of NASDAQ of the issuance of the Stellar Shares and listing of such Stellar Shares for trading thereon in the time and manner required thereby; and (iv) such consents, waivers and authorizations that shall be obtained prior to Closing which are listed on Schedule 5.7 (collectively, the “Required Approvals”).
Consents, Filings and Approvals. No consent, approval, order or authorization of, or declaration or filing with, any Governmental Entity or other person, except as contemplated by this Agreement, is required to be obtained by PMI in connection with the execution and delivery of this Agreement or the consummation by PMI of the transactions contemplated hereby other than:
(a) the filing of the Amalgamation Application with the Registrar;
(b) filings with, and approvals by, the Securities Authorities; and
(c) any other consents, approvals, Orders, authorizations, declarations or filings which, if not obtained, would not, individually or in the aggregate, have a Material Adverse Effect on PMI.
Consents, Filings and Approvals. No consent, approval, order or authorization of, or declaration or filing with, any Governmental Entity or other person is required to be obtained by Carrara in connection with the execution and delivery of this Agreement or the consummation by Carrara of the transactions contemplated hereby other than:
(a) the filing of the Amalgamation Application with the Registrar;
(b) filings with, and approvals by, the Securities Authorities; and
(c) any other consents, approvals, Orders, authorizations, declarations or filings which, if not obtained, would not, individually or in the aggregate, have a Material Adverse Effect on Carrara.
Consents, Filings and Approvals. No consent, approval, order or authorization of, or declaration or filing with, any Governmental Entity or other person is required to be obtained by Subco in connection with the execution and delivery of this Agreement or the consummation by Subco of the transactions contemplated hereby other than:
(a) the filing of the Amalgamation Application with the Registrar; and
(b) any other consents, approvals, Orders, authorizations, declarations or filings which, if not obtained, would not, individually or in the aggregate, have a Material Adverse Effect on Subco.
Consents, Filings and Approvals. No consent, approval, order or authorization of, or declaration or filing with, any Governmental Entity or other person is required to be obtained by G2BE or any of its subsidiaries in connection with the execution and delivery of this Agreement or the consummation by G2BE of the transactions contemplated hereby other than:
(a) filings with and approvals by the Securities Authorities; and
(b) any other consents, approvals, Orders, authorizations, declarations or filings which, if not obtained, would not, individually or in the aggregate, have a Material Adverse Effect on G2BE.
Consents, Filings and Approvals. No consent, approval, order or authorization of, or declaration or filing with, any Governmental Entity or other person is required to be obtained by Brigade or any of its subsidiaries, if applicable, in connection with the execution and delivery of this Agreement or the consummation by Brigade of the transactions contemplated hereby other than:
(a) filings with and approvals by the Securities Authorities; and
(b) any other consents, approvals, Orders, authorizations, declarations or filings which, if not obtained, would not, individually or in the aggregate, have a Material Adverse Effect on Brigade.
