Consequence Upon Termination. Upon termination hereof, this Agreement shall be of no further effect and no party shall have any right against any of the other parties in connection with this Agreement; provided, however, that nothing herein shall relieve any party of any liability before the termination of this Agreement.

Consequence Upon Termination. Upon termination hereof, this Agreement shall be of no further effect and no party shall have any right against any of the other parties in connection with this Agreement; provided, however, that nothing herein shall relieve any party of any liability incurred before the termination of this Agreement. Upon termination of this Agreement, if the New Co has already been established, the parties shall dissolve the New Co in accordance with PRC law.
