Consequences of Compliance. If after receiving a notice of default from the Province’s Representative the Operator corrects the Operator’s Event of Default, the Province may not terminate the Agreement by reason of the pertinent Operator’s Event of Default, but the Operator will pay the Province for the Province’s reasonable and substantiated costs of enforcing this Agreement, including the costs of the Province’s staff, overhead costs and costs if any of consultants and contractors retained by the Province (including legal costs, on a full indemnity basis), and for any other costs incurred as a result of the Operator’s Event of Default suffered by the Province. In such event the Province will deliver to the Operator a substantiated record of all such costs claimed, and the Province will be entitled to set off the total of such costs from any payment the Province owes to the Operator, and if such total costs incurred by the Province exceed the amount of payments owing by the Province to the Operator, such shortfall will be immediately due and owing by the Operator to the Province.

Consequences of Compliance. If after receiving a notice of default from the Owner’s Representative the Design-Builder corrects the default, the Owner may not terminate this Contract for reason of that default, but the Design-Builder will pay the Owner for the Owner’s reasonable and substantiated costs of enforcing this Contract, including the costs of the Owner’s staff, overhead costs and costs if any of consultants and Other Contractors retained by the Owner, and for any other costs reasonably incurred as a result of the default, including delay suffered by the Owner subject to the applicable limits set out in section 15. In such event the Owner will deliver to the Design-Builder a substantiated record of all such costs claimed, and then the Owner will be entitled to set off the total of such costs from any payment the Owner owes to the Design-Builder, and if such total costs incurred by the Owner exceed the amount of payments owing by the Owner to the Design-Builder, then such shortfall will be immediately due and owing by the Design-Builder to the Owner and will bear interest at the Default Rate until paid.
Consequences of Compliance. If the Operator has submitted a written objection in accordance with Article 13.7. and demonstrates that any liabilities which have arisen are a consequence of the Owner’s decision then the Operator shall have no liability in respect of those consequences, provided always that the Operator has acted in accordance with Good Utility Practice and has used its reasonable endeavors to minimize such consequences and liabilities.

  • Consequences for Non-Compliance If the Department has reason to believe that the District is not in substantial compliance with one or more of the statutory or regulatory requirements applicable to the District, the Department shall notify the District that it has ninety (90) days after the date of notice to come into compliance. If, at the end of the ninety-day period, the Department finds the District is not substantially in compliance with the applicable statutory or regulatory requirements, meaning that the District has not yet taken the necessary measures to ensure that it meets the applicable legal requirements as soon as practicable, the District may be subject to the interventions specified in sections 00-00-000 through 00-00-000, C.R.S. If the District has failed to comply with the provisions of article 44 of title 22 or article 45 of title 22, the District does not remedy the noncompliance within ninety (90) days and loss of accreditation is required to protect the interests of the students and parents of students enrolled in the District public schools, the Department may recommend to the State Board that the State Board remove the District’s accreditation. If the Department determines that the District has substantially failed to meet requirements specified in this accreditation contract and that immediate action is required to protect the interests of the students and parents of students enrolled in the District’s public schools, the Department may lower the District’s accreditation category.

  • Consequences of Events of Default and Corrective Action If an Event of Default occurs, the Province may, at any time, take one or more of the following actions:

  • Financial Consequences of Non-Performance If the corrective action plan is unacceptable to the Department or Customer, or fails to remedy the performance deficiencies, the Contractor will be assessed a non-performance retainage equivalent to 10% of the total invoice amount or as specified in the Contract. The retainage will be applied to the invoice for the then-current billing period. The retainage will be withheld until the Contractor resolves the deficiency. If the deficiency is subsequently resolved, the Contractor may invoice the Customer for the retained amount during the next billing period. If the Contractor is unable to resolve the deficiency, the funds retained will be forfeited.

  • Default and Consequences of Default 18.1 Interest on overdue invoices shall accrue daily from the date when payment becomes due, until the date of payment, at a rate of two and a half percent (2.5%) per calendar month (and at the Supplier’s sole discretion such interest shall compound monthly at such a rate) after as well as before any judgment.

  • Financial Consequences for Nonperformance The State reserves the right to withhold payment or implement other appropriate remedies, such as contract termination or nonrenewal, when the Contractor has failed to perform under or comply with the provisions of this contract. When or if the Contractor fails to perform or comply with provisions of this contract, the Contractor has ten (10) calendar days from receipt of Complaint to Vendor Form (PUR 7017) to comply as instructed within the notice. An amount of $500.00 may be assessed for each day the Contractor is delinquent after the ten (10) day notice period ends, and that amount may be withheld from a Contractor’s invoice. The rights and remedies of the State in this paragraph are not considered penalties and are in addition to any other rights and remedies provided by law.

  • Financial Consequences The Department reserves the right to impose financial consequences when the Contractor fails to comply with the requirements of the Contract. The following financial consequences will apply for the Contractor’s non-performance under the Contract. The Customer and the Contractor may agree to add additional Financial Consequences on an as-needed basis beyond those stated herein to apply to that Customer’s resultant contract or purchase order. The State of Florida reserves the right to withhold payment or implement other appropriate remedies, such as Contract termination or nonrenewal, when the Contractor has failed to comply with the provisions of the Contract. The Contractor and the Department agree that financial consequences for non-performance are an estimate of damages which are difficult to ascertain and are not penalties. The financial consequences below will be paid and received by the Department of Management Services within 30 calendar days from the due date specified by the Department. These financial consequences below are individually assessed for failures over each target period beginning with the first full month or quarter of the Contract performance and every month or quarter, respectively, thereafter. No favorable action will be considered when Contractor has outstanding Contract Quarterly Sales Reports, MFMP Transaction Fee Reports, or any other documentation owed to the Department or Customer, to include fees / monies, that is required under this Contract.

  • Consequences of an Event of Default (a) If an Event of Default specified in subsections (a) through (l), (o), (p) or (q) of Section 7.01 shall occur and, be continuing or shall exist, then, in addition to all other rights and remedies which the Administrative Agent or any Lender may have hereunder or under any other Loan Document, at law, in equity or otherwise, the Lenders shall be under no further obligation to make Loans hereunder, and the Administrative Agent may, and, upon the written request of the Required Lenders shall, by notice to the Borrower, from time to time do any or all of the following:
