Considerations in setting the Housing Charge. In setting the monthly Housing Charge payable hereunder, the Directors shall take into account the amount of money which, in the opinion of the Directors, shall be required by the Co-op during each fiscal year for: [a] the maintenance of the corporate existence of the Co-op; [b] the carrying charges on the Lands and the Development, including taxes, and the sums in lieu of taxes; [c] licenses, assessments, insurance, repairs, replacements, upkeep, maintenance and operations; [d] adequate contributions to a capital replacement reserve fund and to any other reserve funds established by the Co-op; [e] all other fees, costs and expenses incurred in the management of the Lands and the Development; [f] the amount, if any, as may be required to meet any deficit in the preceding fiscal year; and [g] any other amounts reasonably required to accomplish the purposes for which the Co-op was incorporated. In carrying out their responsibilities to set the monthly Housing Charge, the Directors shall have regard for any relevant obligation imposed by statute or contract.   • Termination for Convenience by The District The District may terminate this Agreement for convenience, for any reason or no reason at all, on fourteen (14) days advance written notice to Contractor. This advance written notice shall be deemed to have been given on the date the notice is sent by the District to the address for written notices provided below by hand delivery, U.S. Mail, commercial delivery service, such as Fed Ex or UPS, or fax. If this Agreement is so terminated, then the District shall only pay Contractor for goods and/or services provided by Contractor and accepted by the District up to, through, and including the date of termination. Following the termination of this Agreement under this Section, the parties’ duties to one another shall cease except for those obligations that shall survive the termination of this Agreement, including, but not limited to, the District’s payment obligations for goods and/or services accepted by the District before the date of termination, and the Contractor’s duties to insure and/or indemnify the District and to cooperate with any audit. Termination of this Agreement pursuant to this Section shall not limit either of the parties’ remedies for any breach of this Agreement.

  • Now Therefore It Is Agreed As Follows 1 Notwithstanding any of the terms and conditions of employment set out in the said Collective Agreement, if representatives of the Coordinating Committee of registered employers' organizations and of the Alberta and Northwest Territories (District of Mackenzie) Building and Construction Trades Council agree on different terms and conditions of employment for any job or project, those special terms and conditions of employment shall prevail over any counterpart terms and conditions of employment set out in the Collective Agreement for the duration of the job or project for which they were agreed.
