Construction Permit; Adverse Proceedings. The Company shall be the legal and valid holder of the Construction Permit and the Construction Permit shall be in full force and effect without any modification thereto other than as set forth in the Modification Application. Except for proceedings relating to the television broadcast industry generally, there shall not be any order, decree or judgment in effect or any lawsuit, claim, legal action, proceeding or investigation pending or threatened before any court, administrative agency or arbitrator which is reasonably likely to adversely affect the construction, business, property, assets or condition (financial or otherwise) of the Station or the Company or which seeks to enjoin or prohibit, or otherwise questions the validity of, any action taken or to be taken pursuant to or in connection with this Agreement.

Construction Permit; Adverse Proceedings. The FCC approval of the Settlement Agreement shall have become a Final Order and the transactions contemplated by the Settlement Agreement shall have been consummated in accordance with the terms thereof. The Company shall be the legal and valid holder of the Construction Permit, the Construction Permit shall be in full force and effect and shall authorize the construction of the Station at the transmitter site, and in accordance with the other parameters, set forth in the amendment to the application for the Construction Permit filed by the Company on December 31, 1997.   • No Adverse Proceedings On the Closing Date, no action or proceeding shall be pending by any public authority or individual or entity before any court or administrative body to restrain, enjoin, or otherwise prevent the consummation of this Agreement or the transactions contemplated hereby or to recover any damages or obtain other relief as a result of the transactions proposed hereby.
