Consultancy Agreement. According to the terms of the Consultancy Agreement, attached hereto as Exhibit C, Clores shall be paid a consultancy fee in the amount of Twelve Thousand U.S. Dollars ($12,000.00) per month payable in cash or shares of Buyer's stock or both. In any event, Clores' interest in Buyer shall not exceed Nine Percent (9%) ownership interest in Buyer's stock. Except as set forth in this Amendment, the Agreement is unaffected and shall continue in f:hll force and effect in accordance with its terms.
