Consulting Terms. Company agrees to provide Employee with the following additional payments and benefits (“Consulting Terms”). Employee acknowledges and agrees that these Consulting Terms constitute adequate legal consideration for the promises and representations made by Employee in this paragraph of the Resignation Agreement.
Consulting Terms. Consultant is hereby retained to provide business consulting and strategic advisory services as reasonably requested by the Company in connection with the Company’s execution of its business plan and entering into various business arrangements time to time (the “Services”). Without limiting the foregoing, Consultant shall use his reasonable best efforts to render such Services to the Company and further the Company’s interests. The Company and Consultant expect to have regular telephonic conversations and personal meetings on an as-needed basis in connection with Consultant’s providing of the Services, and Company will provide Consultant with updates on latest corporate events and developments. Consultant will not be an employee of the Company, but instead an independent contractor of the Company. The term of this Agreement, and the consulting arrangement described herein, shall be six (6) months commencing as of the date hereof (the “Term”). Consultant will be compensated by the payment by the Company of Ten Thousand Dollars ($10,000). The Company has concurrently herewith paid the aforementioned fee. The Company shall reimburse Consultant, for his reasonable out-of-pocket expenses incurred in connection with providing the Services contemplated herein (but for any air-travel requested by the Company, the Company will book and pay for coach or business-class airfare tickets for Consultant); provided, however, that as a condition to any such reimbursement Consultant will obtain the Company’s prior written approval for (1) any expense individually in excess of $250 or (2) all expenses in excess of an aggregate of $5,000 incurred since the date of this Agreement.

Consultant may engage in other business activities during and after the Term. Consultant will not be an employee of the Company, but instead an independent contractor of the Company. The term of this Agreement, and the consulting arrangement described herein, shall be twenty-four (24) months commencing as of the date hereof (the “Term”). Consultant will be compensated by (1) the payment by the Company of Six Thousand Seven Hundred Fifty Dollars ($6,750) concurrent herewith and (2) the issuance by the Company of Fifty Thousand Six Hundred Twenty Five (50,625) shares of unregistered, fully-paid and non-assessable Company common stock (the “Shares”). The Company has concurrently herewith paid the aforementioned fee and delivered to Consultant a stock certificate representing the Shares, which certificate bears a restrictive securities legend on the reverse side (prohibiting the sale or transfer of the Stock except pursuant to an effective Registration Statement filed with the Securities and Exchange Commission or pursuant to an applicable exemption under State and Federal securities laws). Consulting Terms. Commencing with your acceptance of this Agreement (the “Consulting Start Date”), you will provide consulting services to the Company on the terms and conditions set forth herein in order to support the Company prior to the Employment Start Date and the date you commence full-time employment. Your consulting services pursuant to this paragraph shall automatically terminate on the first to occur of (a) the Employment Start Date or (b) March 31, 2021. In addition, either party may terminate your consulting services upon sixty (60) days’ written notice to the other party.
Consulting Terms. Help Desk Consulting is calculated in 10 minute increments based on the time spent by the consultant on the requested task. Most Help Desk Consulting tasks will result through escalation from a Help Desk call or a specific client request. Please see the Services List above for tasks classified as Help Desk Consulting. Note: This list is not exhaustive and our consultants/Admin team will advise if a task is considered to be Help Desk Consulting. All Help Desk Consulting needs to be scheduled and will be completed remotely. Help Desk consulting tasks completed On-site are classified as Standard Consulting. Help Desk Consulting is not available for Non Support Clients and these tasks are therefore classified as Standard Consulting. Standard and Advanced Consulting is charged in 15 minute increments from the time that the consultant arrives at the place of appointment until the time they leave. All On Site Consulting appointments are subject to a one hour minimum charge. End of Year appointments are generally charged as a minimum two hour appointment. Standard and Advanced Consulting can also be completed remotely and in these cases will be charged in 15 minute increments based on the time spent by the consultant on the requested task with no minimum time requirement. All Standard and Advanced consulting must be scheduled and pre-organized with a Maja Solutions Consultant/Admin member. Payroll Processing charges are individually negotiated when a regular payroll processing contract is initiated. For One off or Temporary Payroll processing, this is charged at the same rates and conditions as Standard Consulting. Bookkeeping services are charged in 15 minute increments from the time that the consultant arrives at the place of appointment until the time they leave. As our Bookkeeping service requires one of our most Senior Consultants to attend, this is considered to be Advanced Consulting with the same rates as conditions. A lower Bookkeeping service rate may be individually negotiated with a minimum number of hours and appointments per year. Please contact our consultants to discuss this further. Pre Purchased hours are ideal for large projects, custom reports, implementations or even just for budgeting purposes. They can be used over an indeterminable time period. Consulting Terms. In exchange for the promises and covenants set forth herein, you and the Company agree that you shall serve as an outside consultant until December 31, 2000 (the "Consulting Period") subject to the terms herein.
(a) During the Consulting Period, upon reasonable prior notice, you will be required to provide consultation services in New York, NY to the Company on a limited basis with respect to such matters as Chief Executive Officer of the Company may reasonably request from time to time. You will report exclusively to the Co- Chief Executive Officers of the Company.
(b) During the Consulting Period, as payment for your Performance of consulting services, the Company shall pay you in monthly installments at the rate of Twenty-Five Thousand Dollars ($25,000) per quarter. Company will make each monthly payment within ten (10) day of your submission of an invoice for such month of the Consulting Period.
(c) You will be entitled to expense reimbursement from the Company for expenses incurred by you on behalf of the Company in accordance with the expense reimbursement policies of the Company. The defense and indemnity obligations of the Company owing to you as a member of the Board of Directors of the Company shall similarly be applicable to you in your capacity as a Consultant to the Company.
(d) During the Consulting Period, you will be solely responsible for all tax returns and payments required to be filed with or made to any federal, state, or local tax authority with respect to your performance of services and the receipt of fees under this Agreement. The Company will regularly report amounts paid to you by filing Form 1099-MISC with the Internal Revenue Service as required by law. The Company will not withhold or make payments for Social Security, make employment insurance or disability insurance contributions, or obtain workers' compensation insurance on your behalf.
(e) During the Consulting Period, you agree to accept exclusive liability for complying with all applicable state and federal laws governing self-employed individuals, including obligations such as payment of taxes, Social Security, disability and other contributions based on fees paid to you under this Agreement.
(f) The Consulting Period shall be renewed and extended, from year to year, unless either party gives the other party written notice of its intention not to renew and extend the Consulting Period, on or before October 1 of any year.
