Common use of Continuous Disclosure Clause in Contracts

Continuous Disclosure. Subject to Applicable Law and any obligations of confidentiality owed to any third parties, each Party shall promptly advise the other Party of any material development, event or information that occurs, is believed to be likely to occur, becomes known, is believed to be true or is believed to be likely to become true that will have a material impact upon the ability of said Party to perform its obligations hereunder.
