The following is added as Section 12A to the Management Agreement: “The Manager may subcontract its duties hereunder to Frontline Management (Bermuda) Ltd., Frontline Management AS, or any other party, including Technical Managers (which may be evidenced in separate agreements between such Technical Managers and the applicable Subsidiaries) approved by the Company’s lenders if applicable loan documents so require; provided, however, that such parties execute subordinations if required by applicable loan documents, and further provided that the Manager shall remain fully responsible for its performance hereof.”
Assignment, Subcontracting and Delegation. 16.1 Neither party shall assign, transfer, charge, sub-license or In any other manner transfer to any third party the benefit and/or the burden of this Agreement, and/or its rights and/or obligations hereunder, in whole or in part, or purport to do any of the same, without the prior written consent of the other party, which shall not be unreasonably withheld or delayed.
16.2 The Licensor shall not sub-contract or delegate any of its functions or responsibilities under this Agreement, or the performance of any part of the Support Services except as may be permitted in writing by the Licensee from time to time. The Licensee shall act reasonably in considering subcontracting requests. The Licensor shall be responsible to the Licensee (and its affiliates, if relevant) for all acts and omissions of the Licensor's subcontractors or agents. The Licensor shall ensure that the quality standards set forth in this Agreement are met by its subcontractors and agents, that the integrity and secrecy of Confidential Information is maintained by its subcontractors and agents and that they comply with the requirements of Clause 10.
Assignment, Subcontracting and Delegation. The contractor has been selected to provide the services and perform the tasks of this contract because of its unique skills and experience. Except as expressly provided in this contract, the contractor shall not assign, subcontract or delegate any of the services and tasks to be performed, without written authorization by the Executive Officer.

Assignment, Subcontracting and Delegation. 17.1 Neither Party may assign, transfer or novate this Agreement (including any Sales Order) without the written consent of the other Party which is not to be unreasonably withheld or delayed, provided however that either Party may assign, transfer or novate this Agreement (including any Sales Order) in whole or in part, to any of its Affiliates and the said Party shall give advance written notice to the other Party of such assignment, transfer or novation as soon as reasonably practicable.
17.2 Notwithstanding the foregoing, ADA may assign, transfer or novate this Agreement (including any Sales Order), in whole or in part, to any shareholders of ADA or any entity that is part of ADA’s merger and acquisition exercises. ADA shall give advance written notice to the Client of such assignment, transfer or novation as soon as reasonably practicable.
17.3 Client acknowledges and agrees that the Services may be performed by XXX’s Affiliate. Accordingly, ADA may delegate or sub-contract certain portions or all of ADA’s obligations under this Agreement to any third-party service provider or ADA’s Affiliate without prior notice to the Client.
17.4 This Agreement and each Sales Order shall be binding upon and shall inure to the benefit of each of the Parties and their permitted successors, transferees and/or assignees.
